Excellent Opportunity with a World leading Accountancy organisation in the idyllic offshore location of Jersey
1.To be responsible for the organisation of the filing of the Annual Returns of Jersey, Guernsey and other foreign companies, and to produce the Annual Returns using Alchemy Database.
2.To assist the Senior Administrators with the production of
minutes, resolutions, ancillary company and trust documentation
as required, including but not limited to:
(i)Minutes/Resolutions
(ii)Stock transfer Forms
(iii)Share Certificates
(iv)Applications for Exempt Company Status
(v)Letters of Appointment/Resignation of Directors,
Secretary and other Officers of Companies
(vi)Bank Mandates
(vii)Letters of Wishes
(viii) Miscellaneous ancillary trust documentation such as
Declarations to add or exclude beneficiaries, instruments of appointment, indemnities from beneficiaries, declarations to change name of Trust, instruments of Retirement and Appointment of Trustees, instruments to advance the Trust period and associated Trustee resolutions.
3.To deputise for the other Trust and Company Administrator responsible for the processing of new business documentation for Trust and Companies, including:-
(i)Completion of internal opening forms;
(ii)Inaugural minutes;
(iii)Completion of the companies Terms and Conditions etc;
(v)Stock transfer forms and Share Certificates.
4.Dealing with telephone enquiries generally as instructed andusing own initiative, where necessary.
5.To prepare all records relevant to the maintenance and good standing of companies incorporated in Jersey and other jurisdictions, for example:
(i)Maintenance of share registrations, including preparation and cancellation of share certificates;
(ii)Maintenance of registers of Members, Directors and Secretary;
(iii)Applications for Exempt Company Status;
(iv)Preparation of Annual Returns;
(v)Holding Extraordinary General Meetings for changes
to Memorandum and Articles of Association, name
change, dissolutions of Jersey registered companies;
(vi)Arranging for notarial attestation and legalisation of documents where required.
6.To prepare minutes of Directors' Meetings and resolutions of Trustees, and to prepare ancillary documentation as necessary.
Items to be minuted such as:
(i)Opening and closing of bank accounts;
(ii)Purchase and sale of investments;
(iii)Purchase and sale of property;
(iv)Lease and Tenancy Agreements;
(v)Transfers of Shares;
(vi)Powers of Attorney;
(vii)Appointment of agents of the Company and Trustee e.g. investment advisers, property managers;
(viii)Approving the financial statements including loans receivable/payable;
(ix)Appointment and resignation of Directors/Officers.
7.Certificates of Election for Panamanian Companies.
8.To review for its accuracy, any documentation which is required to be executed by directors/Trustees e.g. bank mandates, legal charges, tenancy agreements, Powers of Attorney.
9.To input and update generally all company and trust statutory records on statutory database including their review and to assist with the maintenance of computerised safe custody records.
10.Assisting with the completion of sealing requirements for Companies and Trusts as required.
11.To assist in the maintenance of a system of safe custody for documents, securities and other negotiable instruments, which involves checking that the items are correctly described in the written register, placing the items in safe custody, signing out any documents which are removed from safe custody and ensuring that the manual and computerised records are updated.
12.To become conversant with all aspects of the duties discharged by a Company Secretary and Trustee which involves becoming familiar with various relevant legislation and attending training courses on related subjects organised both within and without the firm.
13.To participate in departmental meetings and assist in the formulation of reports for those meetings.
14.Generally, to assist in the development and smooth running of the Department..
The list is not exhaustive and the duties and responsibilities will vary according to the degree of ability demonstrated. The Trust and Company Administrator will be expected to have knowledge and experience in the maintenance of statutory records and be familiar with the more technical aspects of maintaining Companies and Trusts in good standing. The Trust and Company Administrator will, under the guidance of the Senior Trust and Company Administrators, be expected to produce accurate written records on a timely basis, using Word, Alchemy Database and Alchemy Gold.
A high degree of accuracy and the ability to meet deadlines are of the utmost importance, as is the willingness to comply with Company procedures and to work as part of a small and specialised team.
