Associate General Counsel - Contracts

Job SummaryThe Associate General Counsel - Contracts (AGC) serves as a key member of the Legal Department, providing strategic legal counsel and guidance across a wide range of legal and regulatory matters, including healthcare compliance, contracting and/or litigation. This role involves handling complex legal issues, and success in this position requires sound judgment, strong communication skills, and the ability to operate effectively in a fast-paced environment.
EssentialFunctions Key Duties/Responsibilities/Accountabilities Associate General Counsel Contract Primary Duties:
- Drafts, reviews, and negotiates governmental and commercial contracts and agreements, including master services agreements, statements of work, SaaS, license agreements, non-disclosure agreements (NDAs), subcontracts and other vendor agreements.
- Collaborates with and supports the contract administration function, including legal review and support for Request for Proposals (RFPs), small business goals, third-party assessments, risk, and other related responsibilities.
- Provides timely and practical legal advice, guidance, and support to internal stakeholders on a variety of legal and regulatory matters, including healthcare compliance, contracting, litigation, employment law, and risk management.
- Identifies, assesses, and mitigates legal risk within the company, collaborating with internal departments to balance operational needs and company risk tolerance.
- Supports internal investigations and responses to audits, subpoenas, and regulatory inquiries.
- Collaborates with and supports the compliance and security departments with federal and state healthcare regulations, including Health Insurance Portability and Accountability Act (HIPAA) and state privacy laws, fraud and abuse laws, and procurement rules.
- Advises on internal policies, procedures, and training to ensure legal and regulatory compliance.
- Monitors and interprets changes in laws and regulations that impact the organization's operations.
- Anticipates needs and takes initiative to address issues and opportunities before problems arise, ensuring timely and effective outcomes.
- Identifies potential issues and promptly escalates them to appropriate parties for resolution.
- Other duties as assigned
- Juris Doctor (JD) from an accredited law school.
- Active license to practice law in North Dakota, or eligibility to register as a foreign lawyer in North Dakota.
- 5 years of legal experience with a law firm or corporate legal department.
- Displays intellectual curiosity and initiative to identify essential information and issues, and the capability to problem solve complex legal issues and deliver clear, strategic recommendations.
- Exceptional analytical, communication, and interpersonal skills.
- Exemplifies a high standard of professionalism, integrity, and sound judgment in handling sensitive information with discretion.
- Strong organizational skills and ability to manage multiple priorities in a fast-paced environment.
- Demonstrated ability to lead or support cross-functional initiatives and influence decision-making at all levels of the organization.
Above requirements and the following:
- Understanding of federal procurement laws, healthcare regulations, and corporate compliance.
- 3 years of relevant experience in litigation, contracting, or IP/technology experience.
- Experience working with federal agencies such as Centers for Medicare/Medicaid Services (CMS), Health and Human Services (HHS), or Veteran's Administration (VA).
