We are currently seeking a Manager, Governance to join our Governance Department at our Surrey Corporate Office. The Manager, Governance is responsible for overseeing the meeting process for the Board and its committees (and the Management Committees) and maintaining a well organized and effective annual governance cycle. This position is responsible for managing the Governance Office, maintaining compliance with statutory and regulatory requirements, and general corporate reporting. Works to implement decisions made by the Board of Directors and maintains the corporate governance policies and guidelines of Prospera Credit Union and its subsidiaries (“PCU”). As Manager, this position will provide leadership to its direct reports and ensure that department goals and service delivery standards are achieved. The Manager will provide ongoing training, coaching and opportunities for self-development and career development and encourage growth. The Manager will model the credit union values and foster a positive dynamic within the team aligned with the organizational culture.

What you’ll do:

Corporate Governance and Board Support

  • Oversees PCU’s Board and Committee meetings (including the Foundation, Subsidiaries and Management Committees) in accordance with relevant corporate governance standards.
  • Prepares reports, motions and resolutions for Board and Committee meetings, including annual governance matters related to director elections, special resolutions, policies and regular business.
  • Prepares all Board and Committee meeting minutes for distribution in a timely manner, ensuring that highly confidential information is handled and recorded in a discreet and professional manner.
  • Reviews all Management Committee meeting minutes for distribution in a timely manner.
  • Manages the tracking system for Board and Committee meeting action items to define timelines and follow-ups and takes action on outstanding agenda and pending business items of the Board.
  • Oversees the tracking system for the Management Committee meeting action items to define timelines and follow-ups and provides guidance to the Corporate Support team on action items and pending business.
  • Manages overarching Board and Committee work plans and maintains up-to-date Board planning calendars.
  • Oversees the maintenance and reporting of directors’ expenses and compensation.
  • Manages the director orientation process for new directors.
  • Facilitates the continuing education and professional development of directors.
  • Manages the annual Board and director evaluation process with the assistance of a third-party consultant on a biennial basis.
  • Oversees the planning of the Annual General Meeting.
  • Project manages and leads the planning of the nomination and director election process, and special resolution voting process, including registration, materials, communications, validation of voting and candidate eligibility, electronic voting set-up and general logistics.
  • Drafts governance documents and materials in connection with the director election and special resolution voting process; ensuring compliance with legislation and credit union rules.
  • Maintains a thorough knowledge of the CUIA, FIA and Credit Union Rules, relevant policies, procedures, precedents, and committee mandates.
  • Prepares and recommends changes to the Guidelines, Governance and Structure including by-laws for the Foundation Board, and Terms of Reference for the subsidiary companies.
  • Oversees the maintenance of up-to-date Board policy resource centre on the Board portal (Diligent) and employee intranet.
  • Oversees all corporate filings for the credit union and its subsidiaries across all jurisdictions, including the Annual Information Charity Return for the Foundation.
  • Occasional local travel to meeting sites; travel outside of the Lower Mainland once a year.
  • Operational Support

  • Provides Board project management support to the Director, Governance and Assistant Corporate Secretary.
  • Manages the communication of legislative and regulatory changes to the relevant departments or subsidiaries.
  • Oversees the maintenance and control of the corporate records of PCU, its subsidiaries and the Foundation, including Corporate Signing Authorities.
  • Oversees miscellaneous corporate requests such as filings and registrations pursuant to the Corporate Returns Act, Ontario Motor Vehicle Industry Council, Financial and Consumer Affairs Authority of Saskatchewan, and the Motor Vehicle Sales Authority of BC.
  • Coordinates with Centralized Services to maintain Related Party listings, ensuring all Related Parties complete appropriate forms, and prepares bi-annual reports of Related Party transactions to the Governance and Conduct Review Committee.
  • Liaises with external auditors and regulators regarding corporate governance matters and minute book reviews.
  • Maintains accurate and comprehensive operational records including documented processes and reference files; researches and compiles data; and drafts or edits correspondences and reports, as appropriate.

  • What you bring:


  • A post-secondary degree in a related discipline.
  • Chartered Secretary or paralegal designation an asset
  • Experience

  • 7 to 10 years’ experience working in a corporate governance environment, with a minimum of 2 years managing the roles, responsibilities and procedures of a board of trustees/directors. Experience within the financial services industry is an asset.

  • Competencies

  • Excellent knowledge of governance, legislation and compliance best practices
  • Excellent interpersonal and communication skills with the ability to establish mutually beneficial working relationships with internal and external stakeholders, in various functions and at all levels
  • Strong project management, organizational, and time management skills with the ability to work under pressure in a fast-paced environment
  • Ability to exercise sound judgement and discretion on confidential and sensitive matters
  • Self-motivated, results-driven and able to work with limited supervision
  • Excellent problem-solving skills with attention to detail
  • Intermediate to advanced skill level with Microsoft Outlook, Word, Excel, and PowerPoint; experience using Board portal technology is an asset
