Overview

The Corporate Legal Counsel will work on a part-time basis (20+ hours per week) in a vital role ensuring RAD Torque Systems operates within bounds of the law for all Canadian and over-seas operations to support RAD’s strategic goals.

This role is responsible for providing legal guidance across the organization, ensuring compliance with applicable laws and regulations, supporting strategic business initiatives, protecting intellectual property, rights and business operations. They will be required to build and maintain an internal legal document database. They will also work with the RAD-owned Companies in the USA, Ontario and China and collaborate with local agencies.

The ideal candidate will have strong legal and business acumen, excellent communication skills, and the ability to work cross-functionally in a fast-paced environment.

The Role and Responsibilities

Commercial & Contract Law

  • Draft and review a wide range of commercial contracts including supply agreements, distribution agreements, engineering service contracts, employment contracts and NDAs.
  • Support cross-border transactions and ensure compliance with international trade regulations and export controls.
  • Ensure adherence to international attestation and authorization requirements

Corporate & Regulatory Compliance

  • Advise on corporate governance, regulatory filings, and compliance with local and international laws (e.g., anti-bribery, competition law, product liability).
  • Monitor changes in legislation relevant to the company’s operations and ensure timely implementation of compliance measures.
  • Ensure adherence to international compliance for money laundering and other regulations
  • Annual reporting in Canada and other jurisdictions for Forced labour and money laundering
  • Management and support of external legal firms in various jurisdictions to ensure we are complaint in all markets we operate in. (things like annual reports and business licenses)

Risk Management & Dispute Resolution

  • Identify legal risks and propose mitigation strategies.
  • Manage disputes, litigation, and arbitration in coordination with external counsel.
  • Develop and deliver training programs on legal and compliance topics to management on an as needed basis.
  • Support the protection and enforcement of intellectual property rights including patents, trademarks, and trade secrets.

Employment & Labor Law

  • Provide legal support on employment matters, including contracts, terminations, and compliance with labor laws in various jurisdictions.
The Qualifications
  • Post-Secondary degree in a relevant field.
  • Juris Doctor (JD) or equivalent law degree; licensed to practice law in relevant jurisdiction.
  • Active Bar admission.

Experience:

  • 4–9 years of legal experience. Preferably with a mix of law firm and in-house practice.

Skills:

  • Adequate Knowledge of laws and regulatory framework in the following areas: corporate, patents, trademarks, real estate, commercial contracts, intellectual property, international standards for document authentication and attestation and employment law.
  • Excellent analytical, negotiation, and communication skills.
  • Proven excellent written communication and ability to write reports.
  • High ethical standards and sound judgment.
  • Experience in a corporate or business environment is preferred.
  • Strong interpersonal and communication skills, with the ability to explain complex legal concepts clearly.
