We are hiring a Corporate Counsel to support our global operations and ongoing expansion. The role involves working across a broad range of corporate, commercial, regulatory, and operational legal matters within a very fast-paced, technology-driven environment. The Corporate Counsel will partner closely with senior leadership and cross-functional teams across Product, Engineering, People, Finance, and Operations to provide practical legal guidance and enable effective decision-making.
Key Responsibilities Corporate & Commercial- Draft, review, and negotiate commercial agreements (SaaS, MSAs, DPAs, NDAs, partnerships, procurement).
- Support incorporation, structuring, and governance of international entities (UAE, US, APAC, Europe).
- Advise on commercial risk, contractual positions, and business-critical transactions.
- Prepare Board and shareholder documentation, resolutions, and corporate filings.
- Advise on global compliance requirements including GDPR, ADGM/UAE regulations, AI governance, IP protection, and other relevant standards.
- Develop internal policies and frameworks for data privacy, cybersecurity, contract lifecycle management, and corporate governance.
- Work with Product, Engineering, People, and Operations to ensure legal and regulatory alignment across jurisdictions.
- Support People & Culture with employment contracts, policies, disciplinary matters, and cross-border employment considerations.
- Prepare and manage responses for disputes, regulatory inquiries, enforcement matters, and government submissions.
- Coordinate and manage external counsel on litigation, arbitration, and specialist matters.
- Provide clear, practical legal advice to internal teams to enable fast, informed decision-making.
- Support M&A due diligence, joint ventures, partnerships, and investment activity.
- Assist with IP strategy, including trademarks, licensing, and protection of proprietary assets.
- Contribute to building scalable legal systems, playbooks, and internal training to support company growth.
- 3-7 years PQE gained in a reputable law firm and/or in-house environment.
- Strong corporate/commercial background; experience with technology, SaaS, or data-driven businesses is an advantage.
- Ability to understand technical concepts and work closely with product and engineering teams.
- Strong drafting skills, commercial judgement, and the ability to balance risk with business objectives.
- High learning agility, strong analytical skills, and confidence operating in a fast-paced, high-growth environment.
