Legal and Compliance Counsel

We are looking for a highly experienced Legal and Compliance Counsel with a strong transactional and corporate law background to join a professional legal team in Abu Dhabi.
This role is ideal for a seasoned Transactional Lawyer with extensive experience in drafting and negotiating complex, high‑value agreements and supporting compliance initiatives within a commercial environment.
Key Responsibilities- Draft, review, and negotiate complex corporate and commercial agreements, including Joint Venture and Shareholder Agreements
- Provide legal support on corporate transactions, M&A, and restructuring activities
- Advise business stakeholders on legal and regulatory risks
- Implement and maintain compliance policies (Code of Conduct, Whistleblowing, Conflict of Interest, etc.)
- Ensure compliance with UAE and international laws and regulations
- Collaborate with senior management and external legal counsel
- Conduct legal research and support internal legal training initiatives
- Minimum 8 years of legal experience, with at least 5 years in the UAE
- Common law qualification or education from a UK / European / Western jurisdiction (mandatory)
- Strong experience in corporate and commercial law
- Proven expertise in drafting complex transactional documents
- Prior experience in compliance is highly preferred
- Experience with in a commercial company is mandatory
- Background in top‑tier law firms is highly desirable
- Fluent English (native or equivalent) – exceptional drafting skills required
- Fully bilingual:
Arabic & English
