Corporate Paralegal
Full-time position located in Calgary, Canada.
About the Role
McMillan LLP is growing its Paralegal team and has an opportunity as a full-time Corporate Paralegal in our Calgary office. This is an excellent opportunity for a Paralegal with experience at the intermediate level, who is looking for a new and exciting challenge at a national law firm.
Responsibilities- Alberta and Federal in corporations, amendments, amalgamations, continuances and dissolutions.
- Regular maintenance of corporations, including public companies, and preparation of documents relating to annual meetings/proceedings and associated filings.
- Assisting with preparation and filing of documents required for business name registrations, partnership and limited partnership registrations, and extra-provincial registrations.
- Conducting due diligence and minute book reviews, preparing reports outlining issues and deficiencies, and drafting required updating documents.
- Assisting on corporate transactions including drafting, organizing and finalizing transaction documents, assisting with closings and preparation of closing books.
- Ensuring compliance with relevant statutory requirements and providing input on corporate compliance matters.
- Updating and maintaining information in our corporate database.
- Minimum 3-5 years of experience at the intermediate level and CORES Level III.
- Knowledge of legal and technical procedures, statutes, regulations and applicable governmental practices.
- Strong organizational and interpersonal skills, detail-oriented, able to meet deadlines, work well in a team, and provide an exceptional level of client service.
- Comfortable with evolving technology and strong skills in Microsoft Word and Excel.
- Prior experience with iManage, Intapp and 3E or similar document management and timekeeping software.
- Experience with corporate data management cloud-based software (preferably Minute Box) is an asset.
