Role Overview

The Company Secretary will support the VC team and portfolio startups on private placements, corporate actions, and transaction-related compliance. The role focuses on providing investment execution support, conducting basic legal due diligence, and ensuring post-investment corporate compliance for early-stage companies.

Key Responsibilities:

- Check private placement of shares / CCPS / CCDs for portfolio companies
- Ensure compliance with Sections 42 & 62 of the Companies Act, 2013
- Check and approve PAS-4, PAS-5, PAS-3 filings
- Coordinate issuance of share certificates and updating statutory registers
- Conduct basic legal DD for early-stage startups, including capitalisation tables and shareholding history, review of MOA/AOA, shareholder agreements, and prepare DD summary notes for the investment team
- Review and assist with SHA, SSA, term sheets, ESOP documents, and ancillary agreements
- Coordinate with external legal counsel on transaction documentation
- Support closing mechanics and post-closing filings
- Assist in follow-on rounds, secondary transactions, and exits
- Ensure compliance under the Companies Act, FEMA (FDI), where applicable
- Maintain investment documentation repository
- Support internal audits, reporting, and governance checks

Key

Skills Required:

- Strong working knowledge of Companies Act, 2013 (private placement focus)
- Familiarity with startup fund raises (Pre-Seed to Series A)
- Understanding of equity instruments (Equity, CCPS, CCDs)
- Ability to read and flag issues in legal agreements
- Structured, detail-oriented, and execution-focused
- Comfortable working with founders and fast-moving deal teams

Qualifications:

- Qualified Company Secretary (ICSI) – Mandatory
- 2–4 years relevant experience in a VC firm, startup-focused law firm, Investment banking/transaction advisory
- Exposure to early-stage startups is a strong plus
