We are seeking an accomplished, business minded Vice President, Legal to provide strategic legal leadership and hands‑on counsel in support of the company’s continued growth. Based in our Richmond, British Columbia office, this senior in‑house role will oversee legal matters related to franchise operations, commercial real estate, contracts, corporate administration, governance, and risk management.

Key Responsibilities- Lead drafting, review, and negotiation of Franchise Disclosure Documents and franchise agreements
- Ensure compliance with applicable federal, provincial, and state franchise laws and regulations
- Support franchise development and operations on relationships, renewals, and compliance
- Oversee and negotiate commercial leases, renewals, subleases, and related transactions
- Advise on property acquisitions, site development, and landlord/tenant matters
- Partner with external counsel and brokers to drive timely closings
- Draft, review, and negotiate vendor, supplier, licensing, and service agreements
- Build and maintain standardized contract templates and processes
- Provide clear guidance on contract risk, performance, interpretation, and enforcement
- Draft and review bylaws, resolutions, and minutes; manage legal entity structures and minute books
- Align company policies with current laws and governance best practices
- Support audits, investigations, and risk mitigation initiatives
- Manage disputes, regulatory matters, and external counsel; optimize legal budgets
- Represent the company before courts, tribunals, and administrative bodies as needed
- Prepare pleadings, affidavits, briefs, and filings; research and analyze relevant law
- Partner with Finance, Human Resources, Operations, and executive leadership to deliver proactive legal advice
- Mentor internal stakeholders and elevate legal acumen across the organization
- Member in good standing of the Law Society of British Columbia and the Canadian Bar Association
- 7-10 years of progressive legal experience, including franchise law, commercial real estate, and contract negotiation
- Strong command of statutes, case law, regulatory frameworks, and legal documentation across jurisdictions
- Proven ability to balance legal risk with practical business solutions and exercise sound, independent judgment
- Exceptional written, verbal, and presentation skills; able to advise and influence senior leaders
- High professionalism, discretion, and ethical integrity; experience with sensitive and confidential matters
- Strong analytical, research, and problem‑solving skills in a fast‑paced environment
- Effective collaboration skills with internal teams and external advisors; experience managing outside counsel
- Familiarity with multi‑unit or cross‑border franchise systems; exposure to M&A or restructuring preferred
- Experience in hospitality, retail, or restaurant environments is an asset
- This is not a remote role; regular in‑office presence in Richmond, BC is required
- Fast‑paced, deadline‑driven environment; occasional travel and extended hours may be required
- Ability to attend and conduct presentations, hearings, and cross‑functional meetings
