Overview
The Legal, Ethics & Compliance Counsel is an employee with legal educational background reporting to the Senior Legal Counsel of OU Middle East with a dotted reporting line to the Compliance Function and is responsible for ensuring that TKE ALAT operates with integrity, adheres to legal and regulatory requirements, and fosters a culture of ethical and legally correct behavior in the Kingdom.
The role requires a strong legal background, deep knowledge of Saudi laws and regulations, and proven experience in compliance frameworks, as well as a certain level of commercial acumen for contractual negotiations. Experience in construction business would be preferred.
- Legal Management: Provide expert legal support to ensure compliance with Saudi laws and regulations, including corporate, commercial / contractual, employment, dispute management and regulatory and governance matters.
- CMS Management: Implement TKE Group Compliance Management System (CMS) together with methods and processes for its management to ensure its effectiveness based on a prevent-detect-respond approach to protect TKE ALAT in KSA, its bodies and employees from legal / reputational risks.
- Compliance Advisory: Provide Compliance-related advice to the management and all employees of the TKE ALAT group.
- Compliance Investigations: Assist the global Compliance Investigations Team in conducting internal investigations in the TKE ALAT group.
- Policy Development: Establish and maintain TKE ALAT`s policy frameworks, based on TKE ALAT`s values.
- Risk Management: Define on a regular basis main risk for TKE ALAT in KSA (such as unethical behavior, corruption, fraud…) and adopt the CMS and its requirements and specifications according to TKE ALAT`s needs, as well as mitigate ethical and compliance risks across the organization.
- Training & Awareness: Oversee Ethics & Compliance training programs in line with the global TKE training approach to ensure implementation of the CMS and employee`s understanding and engagement.
- Monitoring & Reporting: Implement systems for monitoring Legal and Ethics & Compliance KPIs and reporting to executive leadership and the board.
- Cross-Functional Collaboration: Work closely with Finance, HR, Procurement, Sales and Operations as a trusted advisor and to secure compliance practices across the organization.
- Regulatory Interface: Act as the primary liaison with Saudi regulatory authorities for main licenses and requirements and ensure timely compliance with all legal obligations, supporting the administration team where needed.
- Contract review and drafting, including negotiation with customers and local / international suppliers.
- Regulatory compliance, monitoring changes in Saudi laws and regulations affecting the business.
- Corporate advice and secretarial tasks in connection with the legal entities within the TKE ALAT group.
- Advise HR on employment law and Saudization requirements.
- Implement and maintain the CMS locally, provide Compliance-related advice as well as trainings and assist in internal investigations.
- Assist in managing claims, disputes, and litigation, liaising with external counsel when necessary.
- Education
: - • Bachelor’s degree in law (LLB) or equivalent;
- • Additional certifications in Compliance, Governance, or Risk Management (e.g., CCEP, ICA, or equivalent) are highly desirable.
- Professional Experience
: - • Minimum 5–7 years of legal and compliance experience in Saudi Arabia, with proven track record in handling regulatory matters, contract law, and compliance frameworks.
- • Experience in multinational or large-scale industrial projects, preferably in construction, manufacturing, or engineering sectors.
- • Strong exposure to Saudi commercial, corporate, labor, and regulatory laws, including familiarity with PDPL (Personal Data Protection Law) and anti-bribery regulations.
- • Hands-on experience in implementing compliance management systems (CMS) and conducting risk assessments.
- • Demonstrated ability to manage investigations, audits, and regulatory inquiries effectively.
- • Proven capability in drafting and negotiating complex contracts under FIDIC or similar international standards.
- Language & Communication
: - • Fluent in Arabic (spoken and written) and proficient in English for drafting and negotiations.
- • Excellent communication skills for stakeholder engagement and training delivery.
- Technical & Soft Skills
: - • Strong analytical and problem-solving skills with attention to detail.
- • Ability to design and implement compliance processes and reporting systems.
- • Proficiency in MS Office and familiarity with compliance-related IT tools.
- • High ethical standards, integrity, and ability to work under pressure in a fast-paced environment.
- Preferred
: - • Prior experience liaising with Saudi regulatory authorities (e.g., MISA, Ministry of Commerce / SBC, ZATCA, HRSD).
- • Knowledge of Saudization requirements and labor law compliance.
