Excellent opportunity for a lawyer with approximately 2-5 years of strong experience to work as a Legal Counsel at a public company on sophisticated commercial and transactional matters and join a dynamic and well established legal team. This is an exciting opportunity to work on complex commercial, transactional and strategic matters in a collaborative, innovative and thriving milieu.

• Draft, review and negotiate a variety of commercial agreements, such as: technology, intellectual property licensing, compliance, software, SaaS, cloud, professional services, consulting, leases, purchasing and distribution etc.;
• Advise re: commercial transactions, including strategic initiatives across multiple jurisdictions, provide guidance re: new product and service launches and procurement matters and collaborate with multiple business lines;
• Support transaction and integration matters re: acquisitions, divestures and reorganizations;
• Advise and support re: privacy considerations, IP and technology matters, security, compliance re: advertising and marketing materials, policies, and competition law, among other needs;
• Additional legal matters as required.

• Called to the Bar of Ontario and be in good standing with the Law Society of Ontario;
• Approximately 2-5 years of pertinent legal experience;
• Experience drafting, negotiating, and advising re: various commercial contracts and transactions;
• Understanding of intellectual property law and other technology legal matters;
• Knowledge re: information technology, procurement, privacy law, antispam compliance, including in commercial contracting, digital advertising and marketing, and policy development;
• Strong communication (oral and written), negotiation and drafting skills;
• Solid analytical and problem-solving abilities and attention to detail;
• Ability to work in a team dynamic and establish relationships across various organization levels; and
• Mergers and acquisitions and finance experience considered an asset

The compensation range is $140,000-$160,000, depending on experience and qualifications. Total compensation may include bonuses, benefits and other incentives. Adjustments may apply for candidates with more or less experience than listed.
