SVP, Legal and Corporate Secretary
Position SummaryThe Senior Legal Counsel has responsibility for assisting the Legal Department in matters relating to corporate, commercial, securities, and real estate transactions and compliance with applicable laws.
Responsibilities- Provide legal advice to CAPREIT and its affiliates
- Assist the SVP, Legal with the overall management of the legal function and legal affairs of CAPREIT and its affiliates
- Work with the Investment Department and the Chief Investment Officer to negotiate, manage, and close real estate transactions
- Review and draft contracts to support the operations and corporate services departments
- Draft and review continuous disclosure documents as required by applicable securities laws
- Assist with managing litigation claims
- Work with the Risk and Compliance Department to identify areas of risk and ensure reasonable risk management of business dealings
- Work with corporate service departments to standardize contracts and letters of engagement and respond to queries on an ad hoc basis
- Work with operations teams to draft template notices, releases, and other standard documents and respond to queries on an ad hoc basis
- Advise on enterprise-wide projects
- Assist in preparing reports and memorandums to the Board of Trustees on legal matters
- Work with external counsel as required
- Other duties as may be required
- Law degree from a recognized Canadian law school
- At least 5 years experience post-call at a law firm with knowledge of corporate, commercial, securities and mergers and acquisitions. Exposure to real estate will be a strong asset.
- Must be able to identify issues, keep abreast of legislative changes and legal developments and maintain good connections with key external counsel and firms
- High level of organization
- Excellent attention to detail
- Strong written and verbal communication skills
- Licensed lawyer, Ontario bar, with 5+ years of experience post-call
- Strong, adaptable and flexible team player
- Ability to speak French is an asset
- Competitive Base Salary between $150,000 - $200,000.
- Hybrid Work Model:
Minimum 4 days a week in the office (Monday to Thursday).
