Associate General Counsel, Funds @ Hiive

Overview

Hiive is a fintech/marketplace startup connecting buyers and sellers of stock in venture-backed pre-IPO companies. Located in Vancouver, BC (Hybrid). Hiive is named the #4 startup in Canada for 2024, backed by US venture capital investors, and is seeking to scale its high-performing team. As an Associate General Counsel, Funds, you will be an integral part of our legal team, reporting to the Deputy General Counsel, and providing expert legal counsel to support the growth and execution of our funds business.

This is a mid- to senior-level role for a lawyer with an entrepreneurial mindset, strong attention to detail, and a passion for learning in a dynamic, fast-paced startup environment.

In this role, your responsibilities would include:

• Supporting all aspects of the funds business, including fund structuring and drafting/review of legal documentation, including limited partnership/limited liability company agreements, private placement memoranda, subscription agreements, and side letters.
• Assisting in development and implementation of legal and operational infrastructure to support operation of funds through their lifecycle.
• Providing strategic legal support for Hiive’s funds team.
• Working collaboratively with colleagues and stakeholders across multiple departments to facilitate strategic initiatives related to Hiive’s funds business.
• Working with the Compliance team to ensure compliance with applicable securities laws.
• Managing relationships with external counsel.

• A J.D. or L.L.B. with a license to practice law in the United States.
• 5+ years of relevant legal experience, ideally having started out at a law firm, and honed in-house working at a financial services company.
• Exposure to work on private funds and familiarity with ERAs/RIAs.
• A keen interest in creative legal problem solving, including researching novel and ambiguous areas of law.
• A desire to work on an agile team providing pragmatic advice and guidance to product, business, and operations teams that are moving very quickly.
• A track record of sound judgment and composure in high-pressure situations.

• Strong familiarity with the Investment Company Act of 1940 and registered funds.
• Exposure to work on private investments and/or structuring alternative products.
