Role Overview
The Principal Officer (PO) is accountable for overseeing the overall activities performed by the Company’s business in GIFT IFSC. The PO will ensure robust governance, investor protection, and regulatory liaison and end-to-end operational management of the Company’s capital market activities in GIFT IFSC. This role ensures strict adherence to IFSCA regulations and master circulars, while facilitating the business development and efficient functioning of the IFSC business.
The Principal Officer will supervise daily operations, act as the primary regulatory liaison, and ensure that the Company functions within a compliant, well-controlled framework, effectively balancing regulatory mandates with business objectives.

Roles & Responsibilities :
Oversee governance and operational management of the Company's activities within GIFT IFSC, ensuring adherence to all applicable IFSCA regulations and circulars.
Act as the primary point of contact with IFSCA, stock exchanges, depositories, and other regulatory authorities, including managing regulatory submissions, inspections, audits, and inquiries.
Ensure effective implementation and ongoing monitoring of AML/CFT, KYC, sanctions screening, transaction monitoring, and client onboarding and client due diligence frameworks.
Supervise day to day financial operations, including client money management, remittance processing, trade settlements, reconciliations, and operational risk controls.
Oversee the establishment and maintenance of policies, procedures, and internal controls covering operational and regulatory functions.
Supervise strict segregation of client assets and funds in line with regulatory guidelines.
Supervise client onboarding processes and ensure adherence to customer identification, risk assessment, and ongoing monitoring requirements.
Coordinate closely with business, product, technology, and operations teams to facilitate new product launches, support integration with vendors.
Coordinate with auditors and facilitate timely and act on remediation of audit observations.
Oversee periodic regulatory reporting, statutory filings, certifications, and disclosures required under IFSCA and other regulatory frameworks.
Establish and sustain a compliant operating environment that supports growth while maintaining rigorous governance and control.
Ensure periodic Money Laundering and Terrorist Financing (ML/TF) risk assessments are conducted, and appropriate mitigation controls are implemented across the business.
Provide appropriate reporting and escalation to the Board and senior management regarding material operational, regulatory and business matters.

Qualifications:

Professionally qualified individual and a member of ICAI / ICSI / ICMAI, or holder of a post-graduate qualification or diploma (minimum one year) in finance, law, accountancy, business management, commerce, economics, capital markets, banking, insurance, actuarial science, fintech, science, technology, engineering, or mathematics from a recognized institution; or qualifications such as CFA,…
