About the Role

Our General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.

As Counsel for Technology and Managed Services, you will provide advice, counsel, and legal support in respect of provision of managed services and other technology services and products to EY clients. You will focus on advising, drafting, updating, and negotiating the legal terms and conditions of client‑facing complex, multi‑year managed services, outsourcing, systems implementation, application development & maintenance, software licenses and SaaS agreements, AI, big data, analytics, cloud computing, and other technology & product teams.

Key Responsibilities
  • Draft, update, and negotiate client‑facing Technology & Managed Services Agreements, including advising on contractual strategy and risk.
  • Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
  • Collaborate closely with other members of the US GCO and local counsel in other EY member firms.
  • Coordinate legal resources on managed services projects.
  • Support coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, and Tax).
  • Advise on the accuracy and sufficiency of contractual documentation to protect EY interests.
  • Understand existing EY policies and develop/enhance policies and guidance related to managed services and other technology services and products.
  • Manage workflow in a highly dynamic environment and remain responsive, reliable, communicative, and accountable to team leadership.
  • Build relationships and work seamlessly with other members of GCO and the Legal Practice Groups to deliver exceptional service to GCO clients.
  • Develop and deliver training on Technology & Managed Services Agreements, knowledge sharing, and best practice across the legal network.
Qualifications
  • 4+ years of relevant complex services and technology‑related transactional experience, including drafting and negotiation of Technology & Managed Services Agreements.
  • Experience developing contracting templates, playbooks and standards.
  • Experience in data privacy, intellectual property law and the use and provision of technology in the context of Technology & Managed Services Agreements.
  • Experience with cross‑border contracting.
  • Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI) and explain related legal and business risks.
  • Excellent verbal and written communication skills.
  • Excellent negotiation and interpersonal skills.
  • High cultural and emotional intelligence, resilience, and adaptability.
  • Ability to work independently and collaboratively across functions and geographies.
  • Strong grasp of complex legal and contractual principles and ability to balance risk from both a legal and commercial perspective.
  • Responsive, able to manage high workload volumes and competing priorities.
  • Solution‑oriented with focus on exceptional client service.
  • Experience in a managed services counsel role within a technology or consulting organization, leading negotiations.
  • A bachelor’s degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Active membership in a State Bar and good standing.
