This position will support the legal department in preparing and organizing various legal documents to support the Lottery business.
Job Functions:
- Assist with Intellectual Property (IP) matters, including:
- Conducting trademark availability and clearance searches using internal and external tools.
- Preparing, filing, and maintaining trademark applications, renewals, and assignments.
- Drafting and managing cease-and-desist letters, trademark enforcement correspondence, and responses to third-party actions.
- Maintaining IP portfolios and databases (including docketing and status tracking).
- Coordinating with outside counsel and business units on IP-related filings, disputes, and brand protection efforts.
- Supporting preparation of IP-related disclosures, audits, and due diligence materials.
- Maintaining, managing and updating the Legal Department’s contract management solution and document repository; proficiency with the Intel Agree™ platform a plus.
- Drafting, revising, proofreading, and editing contractual documents (such as nondisclosure agreements and standard form subcontracts and consulting agreements)
- Receiving and filing signed agreements in the Legal Department records platform and managing distribution of documents to other departments as directed
- Maintaining detailed contract summary information for distribution to corporate business units
- Preparing information for disclosures related to proposals, contracts, regulatory filings, government investigations and responses to other inquiries as needed
- Process requests for notarization and obtaining apostille, as directed
- Receiving and responding to inquiries from internal clients
- Updating and distributing information and other documentary records within Legal Department and to other departments
- Preparing and filing business licenses and other registrations
- Infrequent administrative duties (such as periodic travel arrangements and expense reports)
Qualifications:
- Bachelor’s degree or paralegal certificate preferred
- Minimum of 8 years of corporate or commercial Paralegal experience, preferably with previous experience in an in-house legal department
- Experience with drafting and reviewing a myriad of standard form contracts including NDAs and other commercial agreements
- General commercial legal operations experience
- Experience supporting Intellectual Property functions, including trademark searches, filings, and correspondence.
Skills/Abilities:
- Exceptional organizational skills and attention to detail
- The ability to prioritize multiple projects and assignments
- The ability to communicate clearly and concisely with persons at all levels of the company, including executive management
- Ability to work in a team environment, including in cross-departmental circumstances
- Must have working knowledge of legal and contractual terminology and concepts
- General knowledge of corporate governance and organizational principles
- First-rate interpersonal skills
- Creative thinker
- Must be willing to ask questions and learn quickly
- Foreign language skills, Spanish and/or French in particular, are desirable, but not necessary
- Excellent knowledge of Microsoft office products required, particularly with Power Point and Excel
