Our Tax Advisory practice provides sophisticated counsel to middle-market businesses, entrepreneurs, and investors on a wide range of complex federal, state, and international tax matters. We are seeking a highly skilled Senior Tax Attorney to join our Tax Advisory practice. The Senior Associate will play a critical role advising clients on a wide variety of tax issues
, ranging from U.S. federal income tax matters and corporate transactions to international tax, partnership taxation, and controversy work. Our cases span corporate tax planning, mergers and acquisitions, reorganizations, cross-border transactions, IRS examinations, and high-stakes business and individual tax challenges. This role offers significant client exposure, diverse casework, and the opportunity to manage and mentor junior attorneys and paralegals, with a path toward greater leadership within the department.
- Advise clients on a broad spectrum of tax-related issues, including:
- Corporate and partnership taxation
- Mergers, acquisitions, divestitures, and restructurings
- Cross-border and international tax planning
- IRS audits, appeals, and controversy matters
- Business tax planning and compliance
- Tax issues intersecting with estate planning and business succession
- Conduct tax due diligence and assist in structuring transactions in a tax-efficient manner.
- Draft and review tax-related provisions in transaction documents, including purchase agreements and operating agreements.
- Collaborate with clients and cross-functional deal teams to develop innovative tax strategies and practical solutions.
- Monitor and stay abreast of federal and state tax developments, regulatory changes, and IRS guidance impacting a wide variety of client matters.
- Mentor and provide guidance to junior attorneys, paralegals, and support staff.
- J.D. from an accredited law school and active membership in good standing with at least one state bar.
- Minimum of 3+ years of relevant tax advisory experience at a law firm, Big Four, or reputable tax advisory firm.
- Strong knowledge of U.S. federal income tax law, with demonstrated experience in one or more of the following: corporate tax, partnership taxation, M&A, international tax, or controversy matters.
- Strong analytical, writing, and verbal communication skills.
- Ability to manage multiple projects and deliver practical advice under tight deadlines.
- LL.M. in Taxation preferred but not required.
