Job Brief

We are seeking an experienced Securities Law Attorney to join our legal team. The ideal candidate will provide expert counsel on securities law compliance, regulatory matters, and corporate transactions, especially in IPO filing and post IPO compliance, playing a key role in supporting our clients' growth and stability.

What You’ll Do

• Advise Clients: Offer expert advice on securities law compliance and regulatory requirements.
• Document Drafting: Draft and review securities offering documents, such as registration statements and prospectuses.
• Legal Research: Conduct comprehensive legal research on current securities regulations and emerging legal trends.
• Securities Offerings: Guide clients through public and private securities offerings to ensure legal compliance and strategic alignment.
• Corporate Transactions: Assist with mergers, acquisitions, and corporate governance matters.
• Regulatory Adherence: Ensure compliance with SEC and state securities laws.

What We’re Looking For

• Educational Background: Juris Doctor (J.D.) from an accredited law school.
• Licensure: Active membership in any State Bar Association, NY State or CA State bar preferred.
• Experience: 5-7 years of professional experience in securities law.
• Regulatory Knowledge: Strong understanding of federal and state securities regulations.
• Skills: Excellent analytical and communication skills, proficiency in legal research and document preparation.
• Preferred Qualifications:
• Experience with public company reporting.
• Background in corporate finance.
• Knowledge of emerging securities market trends.
