The Opportunity

As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support in respect of the provision of technology products and platforms to EY clients. Your focus will be advising, drafting, updating and negotiating client‑facing software license and SaaS agreements, as well as internal legal advice to EY technology and product teams from ideation to go‑to‑market.

Key Responsibilities
  • Draft and negotiate client‑facing product and platform agreements, including advising on contractual strategy and risk and staying current with relevant legal developments.
  • Collaborate closely with other U.S. GCO members and local counsel in other EY member firms.
  • Work with intellectual property and procurement counsel on product commercialization.
  • Coordinate with cross‑functional teams (Data Privacy, Information Security, Independence, Quality and Tax) as necessary.
  • Enhance EY policies and guidance relevant to technology products and platforms.
  • Support internal product teams in developing new products and platforms.
  • Develop a working understanding of all tools, products and platforms to provide effective counsel.
  • Manage workflow in a dynamic environment, remaining responsive, reliable, communicative and accountable.
  • Provide practicable legal advice to internal product teams and business stakeholders.
  • Build relationships and team seamlessly within GCO and the Legal Practice Groups.
  • Develop and deliver training on product and platform agreements and best practices across the legal network.
  • Continuously learn, contribute and innovate in a dynamic space.
To Qualify, Candidates Must Have
  • 7+ years of technology‑related transactional experience in a client‑facing capacity, drafting and negotiating product and platform agreements.
  • A strong background in SaaS, software licenses, emerging technologies and go‑to‑market delivery models.
  • Experience developing contracting templates, playbooks and standards.
  • Proficiency in leveraging legal and collaboration tools to optimize teamwork.
  • Experience in data privacy, data security, licensing and intellectual property law.
  • Experience with cross‑border contracting, including local country agreements and data transfer.
  • Ability to assess and negotiate terms for current and new technologies (cloud, AI) and explain associated legal and business risks.
  • Excellent oral and written communication skills.
  • Strong negotiation and interpersonal skills.
  • High cultural and emotional intelligence, resilience, flexibility and adaptability.
  • Ability to work independently and with colleagues across functions and geographies.
  • Strong analytical skills to articulate and document complex legal and contractual principles.
  • Highly responsive with the capacity to handle high workload volumes and competing priorities.
  • Solution oriented with focus on exceptional client service.
  • Experience in a product counsel role with leading negotiations.
  • Bachelor's degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Membership in a State Bar as an attorney qualified to practice law and good standing with continuing legal education requirements.
