The Opportunity

The Legal and Compliance Department ensures that work performed supports the Aeroflow mission, vision and values to improve the health of the communities it serves with a focus on patient‑ and family‑centered care. The Department develops solutions to complex problems that require the regular use of ingenuity and innovation and ensures solutions are consistent with legal and regulatory requirements and business objectives while maintaining a perspective of Aeroflow’s vision and goals.

The Associate General Counsel (AGC) will provide legal and compliance support across the organization, focusing on contracting, employment law, and commercial matters. Reporting to the General Counsel, the AGC will collaborate across business operations, sales, human resources, compliance, IT, and service delivery teams.

Your Primary Responsibilities
  • Draft, review, negotiate, and manage a wide variety of contracts: vendor and supplier agreements, vendor business associate agreements (BAAs), customer service/vendor/vendor‑partner contracts, maintenance and service contracts, purchase and lease agreements.
  • Establish and maintain standard contract templates, approval workflows, and contract lifecycle processes to ensure efficiency and consistency.
  • Provide strategic advice on contractual risk and alignment with company interests, including indemnities, limitation of liability, warranties, and data protection clauses.
  • Provide strategic legal advice and counseling on labor and employment law issues, including hiring, discipline, termination, pay and benefits, insurance, wage and hour compliance, discrimination, harassment, and accommodations.
  • Provide clear and practical legal counsel to HR and business leaders and navigate complex and sensitive situations effectively.
  • Oversee internal employment investigations and provide recommendations on disciplinary actions or employment disputes.
  • Collaborate with outside counsel and manage litigation budgets and strategy.
  • Draft, review, and update employment agreements, separation agreements, and confidentiality agreements.
  • Partner with HR and business leaders to develop and implement policies and training programs that ensure compliance with employment laws and mitigate risk.
  • Assist with preparation and maintenance of corporate governance documents, including board resolutions, corporate records, and committee materials.
  • Support entity management, including formation, qualification, annual reporting, and maintenance of corporate entities.
  • Work with Finance and leadership on governance requirements, audit requests, and reporting obligations.
  • Ensure good corporate hygiene and alignment with internal controls and compliance expectations.
  • Manage Aeroflow’s intellectual property portfolio (including patents, trademarks and trade secrets) in support of the company’s business objectives.
  • Supervise outside counsel engaged in procuring, defending, and asserting IP rights, including IP‑related litigation.
  • Provide general legal support to internal teams, including Operations, Sales, Marketing, Finance, and IT.
  • Assist with risk management initiatives and insurance‑related legal needs.
