Last Energy seeks a Commercial Counsel with a sharp eye for detail and a business mindset to join our in-house legal team. This role will be responsible for drafting, reviewing, and negotiating a wide range of commercial agreements that underpin our operations and partnerships. You will collaborate closely with business, finance, supply chain, and project teams to ensure that contracts align with company goals, mitigate risk, and support our rapid growth.

With projects actively underway in the United States and United Kingdom, Last Energy co‑locates their proprietary 20 MWe power plant in clusters, with strategic deployment near AI data centers, defense installations, and industrial facilities. Specializing in high‑throughput manufacturing and supply chain efficiency, Last Energy is revolutionizing nuclear power delivery for rapid deployment and scalability.

Key

Duties & Responsibilities
  • Draft, review, and negotiate a broad range of commercial contracts, including power purchase agreements (PPAs), EPC contracts, O&M agreements, supply/procurement contracts, NDAs, MOUs, and service agreements
  • Provide legal advice to internal teams across development, operations, procurement, and finance
  • Assist in managing the full contract lifecycle and maintaining contract management tools
  • Collaborate with outside counsel as needed
  • Ensure compliance with federal, state, and local energy laws and regulations
  • Track and interpret changes in legislation and regulatory frameworks
  • Support internal audits and risk assessments tied to contract obligations
  • Other duties as assigned
Qualifications
  • JD degree and admission to at least one U.S. state bar in good standing
  • 6+ years of relevant legal experience, preferably in a mix of law firm and in‑house environments
  • Strong background in commercial contracting, including drafting and negotiating complex agreements
  • Excellent communication skills, with the ability to explain legal concepts to non‑lawyers
  • Business‑oriented mindset with strong judgment and attention to detail
  • Ability to manage multiple projects simultaneously in a fast‑paced, dynamic environment
  • Experience in energy, infrastructure, or technology sectors
  • Familiarity with international contracting and cross‑border deal structures is a plus
