Transactional Associate Attorney

Overview

Breazeale, Sachse & Wilson seeks a transactional associate for its Baton Rouge office. You will work closely with senior partners on matters involving formation of entities, the purchase and sale of businesses and real estate, corporate and legal governance, commercial loan transactions, and preparation of ancillary agreements related thereto.

• Preparing and negotiating purchase agreements, finance and loan agreements, and ancillary agreements
• Forming new entities and drafting organizational documents
• Drafting board and member authorizing resolutions and related consents
• Organizing and reviewing due diligence documents
• Managing closing checklists, regulatory filings tied to transactions, and post-closing compliance deliverables
• Conducting targeted research and drafting practical memos

• J.D. from an accredited law school
• Licensed in Louisiana or ability to become licensed promptly
• 2-7 years of legal experience preferred; however, we will consider any candidate, regardless of level of experience, who is highly motivated and demonstrates the capability to succeed
• Strong research, writing, and analytical skills, with demonstrated attention to detail, accuracy, and organization
• Business judgment, professionalism, and comfort working with senior partners.
