The RoleWe are seeking a Senior Commercial Contracts Manager to partner closely with our Go‑To‑Market and Finance teams and drive success across complex software and SaaS negotiations. You will play a key role in both enabling revenue growth and managing the commercial risk of Napier customer and partner contracts by providing timely, pragmatic legal support that balances commercial opportunity with risk management.
In this role, you will provide a full range of commercial legal support to our fast‑paced, scaling global business. You will partner closely with Sales, Customer Success, Marketing, Technology and Finance teams to support revenue opportunities, mitigate risk, and drive efficient contract execution.
You will lead the drafting and negotiation of a broad portfolio of commercial agreements - including SaaS, software licensing, managed services, vendor contracts, and multi‑jurisdictional commercial deals - while advising the business on intellectual property, data privacy, regulatory considerations, and compliance matters.
Your day to day- Commercial Contracting
- Draft, review and negotiate a wide variety of customer and partner contracts including SaaS, software licensing, professional managed services (managing both standard Napier template contracts and customer generated agreements where required for deals), supplier / vendor agreements and other multi‑jurisdictional commercial deals.
- Drive efficient contract cycles by giving timely, solution‑oriented advice to GTM teams leveraging external legal counsel where required on an as needs basis.
- Deal Support & Revenue Enablement
- Provide strategic legal guidance during sales cycles, helping teams understand risk positions, contractual requirements, and negotiation strategies.
- Review and support responses to RFPs, RFIs, and customer proposals.
- Governance, Risk & Compliance
- Advise internal stakeholders on regulatory and compliance matters (including regulatory changes impacting financial services clients) such as data protection, privacy, IP, and corporate governance.
- Maintain and update contract templates to reflect evolving business and regulatory needs.
- Cross‑Functional Collaboration
- Participate in cross‑regional projects and compliance initiatives.
- Act as a trusted partner to teams across the organization, helping embed a strong culture of continuous improvement.
- 5+ years PQE, including in‑house experience (direct or via secondment).
- Strong background in commercial law with experience negotiating cross‑border agreements.
- Strategic approach to contract negotiations with experience working with GTM teams to build out a playbook for each deal to generate the optimum outcome for Napier.
- Understanding SaaS, software licensing, and cloud deployment models.
- Fintech (financial technology) or broader financial services is considered a beneficial asset for this role, though it is not a mandatory requirement.
