Legal Counsel – Funds; Bussum

We are currently recruiting a Legal Counsel – Funds (m/f/x), to enforce our legal department. This person will be based in Bussum as part of our Central Services team which is located in the Netherlands, Belgium, Germany and the United Kingdom and consists of more than 50 specialists who are responsible for the legal, reporting, accounting, tax, investor relations, technology, HR, Responsible Investing and marketing functions of Waterland.

The Legal Counsel – Funds will primarily focus on fund and regulatory matters, compliance and risk management, ensuring Waterland operates in line with European regulatory frameworks.

The Legal Counsel will:

• Support fund and investment structuring (fund formation, fund restructurings, secondary transactions, carried interest arrangements, employee participation plans, capital calls, distributions, fund financing) and review related legal documents (LPA, PPM, side letters and subscription documents).
• Coordinate regulatory filings and liaise with supervisory authorities.
• Advise investment teams on fund documentation.
• Ensure compliance with AIFMD, SFDR, GDPR, AML/KYC and other EU financial regulations, including monitoring regulatory developments.
• Draft, update and maintain policies, registers, reporting frameworks and internal procedures.
• Respond to investor and LP due-diligence requests and support regulatory inspections, depositary requests, audits and marketing material compliance reviews.
• Manage relationships with legal and notarial advisors.

The Legal Counsel will report to the General Counsel (based in Belgium).

We are seeking candidates (m/f/x) who can meet the following requirements:

• 3-6 years of experience in a top-tier law firm, asset management firm, or private equity house.
• Experience with fund structuring, compliance programs and regulatory filings.
• Strong knowledge of AIFMD, AML/KYC, SFDR, and other European fund regulations.
• High degree of professional ethics and integrity.
• Sound judgement and ability to analyse situations and information.
• Profound knowledge of Dutch and English.

A down-to-earth and open team player, having good communication and conviction skills, decisiveness, a creative yet pragmatic attitude, initiative-driven, curious and passionate.

Well‑organised, pro‑active, detail‑oriented, ability to multi‑task and work to tight deadlines. Works in a consistent manner with software tools.

Taking responsibility for tasks lity to apply strong theoretical knowledge on practical situations, taking the company risk profile and goals into account.

A full-time employment contract. The role will be based in our Bussum office.
