Position SummaryWe are seeking a highly experienced Senior Paralegal capable of running transactions end-to-end, collaborating across departments, and operating with precision and sound judgment in a fast‑paced, sophisticated environment. The Senior Paralegal will play a critical role in the execution and management of transactions across Post’s core businesses. Working collaboratively and closely with all of the current eight (8) members of the Post In‑House Legal Team (Chief Legal Officer/General Counsel, Deputy General Counsel, 2 Associate General Counsels, a Paralegal Manager, a Senior Paralegal, a Paralegal and a Legal Assistant) and internal stakeholders, this individual will manage deal processes, coordinate with external counsel and counter parties, and organize and oversee legal documentation with a high degree of autonomy.
This is not a task‑based role. The ideal candidate is an experienced, confident, proactive, solutions‑oriented professional who takes ownership of deadlines, maintains impeccable attention to detail, anticipates needs, and thrives in an environment with rapid deal flow and shifting priorities.
Key Responsibilities (Working collaboratively with the In‑House Legal Team) Real Estate Transactional Execution & Deal Management- Manage a high volume of complex real estate transactions from inception to closing, including acquisitions, dispositions, financings, joint ventures, equity transactions, and regulatory filings.
- Coordinate and manage closing mechanics, developing, driving, and maintaining comprehensive closing checklists and deal calendars; coordinating with all stakeholders to ensure timely execution.
- Interface directly with counter parties—including lenders, title and escrow officers, buyers/sellers, brokers, regulators, governmental entities, and outside counsel—to move deals forward and resolve issues proactively.
- Manage, review, process and/or create initial forms of a broad range of corporate and real estate transactional documents, including:
- Operating agreements, formation documents, and organizational consents.
- Purchase and sale agreements, loan documents and related financing applications and documents, grant deeds, UCC filings.
- Joint venture agreements, subscription agreements, and membership agreements.
- Regulatory submissions, and other commercial contracts.
- Maintain and update templated forms, precedents, and internal legal resources.
- Manage entity formation, corporate governance filings, compliance calendars, and state registrations across a large ecosystem of affiliated entities.
- Maintain corporate records, cap table updates, and organizational charts.
- Oversee regulatory filings, renewals, and jurisdiction‑specific compliance obligations.
- Conduct discreet factual and legal research using appropriate AI and other technology tools.
- Organize, track, and archive documents efficiently using legal technology platforms and internal systems.
- Bachelor’s degree and ABA‑approved paralegal certificate.
- 7+ years of transactional real estate paralegal experience in a leading law firm, private equity/investment firm, or sophisticated in‑house legal department.
- Significant demonstrated experience managing closings independently, including drafting, coordinating, and overseeing high‑volume transactional documentation.
