Case Assistant Private Equity
Position Summary:Cooley is seeking a case assistant to support our Private Equity practice. Provide legal support with complex M&A transactions for both private equity clients and general corporate maintenance of private equity fund investments. Specific duties and responsibilities include, but are not limited to:
Position responsibilities:Assist in the formation, maintenance, and dissolution of entities and prepare related organizational documents
Coordinate closings and prepare related documents
Assist with debt financing deliverables
Assist in preparing legal opinions and assembling opinion back-up
Organize corporate records and conduct due diligence reviews
Prepare stock certificates and maintain capitalization tables
Coordinate incentive equity grants and maintain incentive equity records
Assist with corporate acquisition and sales transactions
Other tasks as assigned or required
Skills and experience:Required:
Bachelor's degree
Available to work overtime, as required
Proficiency in the Microsoft Office suite, advanced knowledge of Excel preferred
Bill a minimum of 1600 hours annually
Preferred:Experience with profit interests
Experience with leveraged buyouts and debt financing documents
Previous law firm experience
Competencies:Excellent oral and written communication skills
Strong attention to detail with the ability to manage multiple priorities and track extensive details to deliver excellent client service
Ability to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly
Excellent organizational skills

The expected hourly pay range for this position with a work schedule of 40 hours per week is $26.00 - $36.00 ($54,080.00 - $74,880.00 annually). Please note that final offer amount will be dependent on geographic location, applicable experience and skillset of the candidate.
