Corporate Counsel
Position at Cosette Pharmaceuticals, Inc., a U.S.
-based integrated pharmaceutical company located in Bridgewater, NJ.
The Corporate Counsel will oversee drug distribution licenses, drug pricing and transparency compliance, and review, draft, negotiate, and manage a wide range of contracts. This role may also provide additional corporate, employment, compliance, and regulatory legal support as needed while working closely with internal functional groups and outside counsel.
Duties and Responsibilities- Oversee compliance with drug distribution licensing, drug price reporting, and physician aggregate spend by coordinating with stakeholders and managing third‑party platforms.
- Review, draft, and negotiate contracts across all areas, including non‑disclosure agreements, consulting agreements, service agreements, commercial contracts, manufacturing/supply agreements, distribution agreements, co‑development agreements, and quality agreements.
- Facilitate internal contract approval and stakeholder negotiation to resolve complex issues, and assist in disputes by escalating as appropriate.
- Communicate with business units to ensure all obligations are being met (e.g., milestones, deliverables, invoicing).
- Ensure consistency of contract terms within company policies, goals, and best practices to enhance the contract review processes.
- Draft and update appropriate templates and work with business units to develop contract strategies.
- Interpret contract requirements, obligations and risk exposure and advise accordingly.
- Provide direction and guidance related to the contracting process and input to the development, maintenance and management of contracting policies and procedures.
- Prepare contract summaries to ensure proper interpretation of contracts (particularly in connection with transaction due diligence).
- Enhance and manage the contract tracking system.
- Assist in developing and managing departmental and company‑wide legal training programs.
- Research issues and provide support to the General Counsel and internal clients.
- Educate business partners on key commercial, legal, corporate policy and other considerations to ensure timely performance and adherence to contract terms.
Skills and Abilities
- Juris Doctor (JD) from an ABA accredited school.
- Active license and good standing with a state bar.
- 4+ years of relevant experience.
- Experience with in the biotechnology or pharmaceutical industry or as outside counsel is strongly preferred.
- Proven negotiation abilities and business acumen.
- Customer‑centric approach in supporting both external and internal clients while protecting the best interest of the organization.
- Experience developing, driving, and implementing legal solutions.
- Ability to deliver strong results with limited resources, under tight deadlines and with a high degree of accuracy.
- Strong oral and written communication skills.
- Ability to maintain strict confidentiality of sensitive information.
- Team player capable of leading and participating within cross‑functional project teams to meet key milestones under tight timelines and stressful conditions.
The expected base salary for this Bridgewater, NJ based position is $150,000 – $190,000, with additional discretionary bonus potential.

Physical RequirementsThis role follows a hybrid work schedule, requiring three (3) onsite days per week at our Bridgewater, NJ office.
