Position Summary

The Corporate Counsel will be responsible for overseeing drug distribution licenses, drug pricing and transparency compliance, and reviewing, drafting, negotiating, and managing a wide range of contracts. The Corporate Counsel may be asked to provide additional corporate, employment, compliance, and regulatory legal support as needed, while working closely with colleagues across internal functional groups, and outside counsel.

Duties and Responsibilities
  • Responsible for overseeing compliance with drug distribution licensing, drug price reporting, and physician aggregate spend by coordinating with internal stakeholders and managing third-party platforms.
  • Review, draft, and negotiate contracts across all areas within the organization, including but not limited to: non-disclosure agreements, consulting agreements, service agreements, commercial contracts, manufacturing/supply agreements, distribution agreements, co-development agreements, and quality agreements.
  • Facilitate internal contract approval and stakeholder negotiation to resolve complex issues and assist in disputes (escalating complex legal and factual issues to the appropriate internal stakeholders). Communicate with business units ensuring all obligations are being met (.g., milestones, deliverables, invoicing, etc.).
  • Ensure consistency of contract terms within company policies, goals, and best practices to enhance the contract review processes.
  • Draft and update appropriate templates and work with business units to develop contract strategies to support the organization.
  • Interpret contract requirements, obligations and risk exposure and advise on same.
  • Provide direction and guidance related to the contracting process. Provide input to the development, maintenance and management of contracting policies and procedures.
  • Prepare contract summaries to ensure proper interpretation of contracts (particularly in connection with transaction due diligence).
  • Enhance and manage contract tracking system.
  • Assist in developing and managing departmental and company-wide legal training program(s).
  • Research issues and provide support to the General Counsel and internal clients.
  • Educate business partners on key commercial, legal, corporate policy and other considerations to ensure timely performance and adherence to terms of contracts.
Required

Skills and Abilities
  • Juris Doctor (JD) from an ABA accredited school.
  • Active license and good standing with a state bar.
  • 4+ years of relevant experience.
  • Experience with in the biotechnology or pharmaceutical industry or as outside counsel is strongly preferred.
  • Proven negotiation abilities and business acumen.
  • Customer centric approach in supporting both external and internal clients while protecting the best interest of the organization.
  • Experience developing, driving and implementing legal solutions.
  • Ability to deliver strong results with limited resources, under tight deadlines and with a high degree of accuracy.
  • Strong oral and written communication skills.
  • Ability to maintain strict confidentiality of sensitive information.
  • Team player capable of leading and participating within cross-functional project teams to meet key milestones under tight timelines and stressful conditions.
Salary Range

The expected base salary for this Bridgewater, NJ based position is $150,000 -$190,000. In addition, you may be eligible for a discretionary bonus if you are an active employee on the payment date.

Physical Requirements
