nLIGHT is looking for a Senior Counsel (Commercial) responsible for providing advice and legal counsel to the company on a broad range of matters, focusing on supporting the commercial business of the company. The Senior Counsel (Commercial) must possess outstanding legal and business acumen, be a team player, and possess strong interpersonal skills, initiative, and leadership experience. The incumbent in this role will report to nLIGHT's General Counsel.

The position will be located in Camas, WA.

• Provide expert legal guidance and strategic advice to the executive leadership team and all functional teams on a broad range of legal matters, including but not limited to contract law, privacy concerns, business opportunities, mitigating risk, regulatory compliance, and commercial transactions.
• Stay abreast of relevant laws, regulations, and industry trends impacting the company's operations, and provide proactive guidance and support to ensure compliance with federal, state, and local laws and regulations.
• Draft, review, and negotiate complex commercial contracts, non-disclosure agreements, software and IT contracts, leases, distributor agreements, supply agreements, and other strategic agreements.
• Responsible for global subsidiary management.
• Liaise with global external subject matter experts and outside counsel when necessary and act as the interface between nLIGHT business teams and such experts and outside counsel.
• Understand key stakeholders' needs and develop solutions for maximum impact to accomplish corporate goals, strategies, and priorities.
• Review and interpret statutes, regulations, proposed legislation, judicial decisions, and legal opinions that may impact the company.
• Assist and/or provide legal advice in any and all areas as assigned.

• Juris Doctor (JD) degree required and admitted to at least one state bar with active membership in good standing.
• Ability to register as in-house counsel as necessary.
• 8-10 years of relevant corporate and commercial legal experience with prior in-house experience.
• Demonstrated ability to work across functions to provide timely and effective legal advice.
• Eligible to obtain and maintain a personal security clearance as necessary.
• Ability and willingness to travel up to 15% travel time.
