The London-based UK Corporate Secretary team sits within the Legal department and comprises eight governance professionals.
The team supports the governance of Merrill Lynch International (MLI) and works across the EMEA subsidiary governance portfolio, which comprises approximately 80 regulated and unregulated entities across EMEA.
The London team works closely with the wider EMEA Corporate Secretary team, particularly colleagues in Dublin and Paris, to share expertise, coordinate cross-border governance matters and provide consistent, high-quality support across the portfolio.
Responsibilities- Provide company secretarial and governance support to Merrill Lynch International (MLI) and, as required, other UK and EMEA entities.
- Assist with the administration of MLI Board and committee meetings, working with senior team members and liaising with directors, senior management and presenters as required.
- Support meeting planning and coordination, including preparing and distributing agendas, meeting materials and briefing notes; updating forward planners; and maintaining action trackers.
- Attend Board and committee meetings and assist with drafting minutes, resolutions, correspondence and other governance documents for review and approval by senior team members. Coordinate presenter timings for Board and committee meetings.
- Assist with director appointments, onboarding, induction and annual governance processes, including conflicts of interest, training, evaluations and the collection and maintenance of required records and approvals.
- Support the maintenance of statutory registers, minute books, governance databases, templates and electronic and physical records.
- Assist with Companies House filings, regulatory notifications and other corporate filings.
- Use Diligent Boards, Microsoft 365 and approved artificial intelligence tools to prepare meeting materials, maintain records and support governance workflows securely and efficiently.
