The Commercial Legal Advisor provides end‑to‑end legal support with a strong focus on commercial contracting, supplier negotiations, data compliance, and operational legal support across South Africa, Sub‑Saharan Africa, and Mauritius. The role is hands‑on and drafting‑intensive, ideal for someone who enjoys producing high‑quality legal work, managing complex contracts, supporting negotiations, and working closely with operational teams. The advisor ensures legal compliance, reduces commercial risk, and supports strategic and day‑to‑day operations across the Group.
Dutiesand Key Areas of Responsibility Commercial Agreements
- Draft, review, and negotiate complex commercial agreements, including supplier contracts, strategic partnership agreements, SLAs, technology and platform contracts, procurement agreements, and cross‑border engagements.
- Lead and support major commercial negotiations, ensuring alignment with South African commercial law and relevant SSA jurisdictional requirements.
- Structure agreements that balance legal protection with commercial value, operational needs, and business strategy.
- Ensure legal terms reflect internal controls, data compliance obligations, and risk mitigation requirements.
- Lead the legal aspects of supplier onboarding, contracting, renewals, and lifecycle oversight.
- Ensure integration and implementation of KYC/KYB requirements into supplier contracts and onboarding processes.
- Manage and oversee third‑party verification agents, ensuring quality, accuracy, and escalation of identified risks.
- Resolve supplier‑related disputes, contractual breaches, and commercial escalations.
- Reinforce supplier compliance with contractual obligations, data privacy requirements, performance standards, and legal obligations.
- Provide legal guidance on labour and employment matters, including employment contracts, workplace policies, performance management, and legislative compliance.
- Support HR in disciplinary processes, grievances, investigations, and employment‑related disputes.
- Chair disciplinary hearings when required and advise on labour risks and mitigation.
- Manage and oversee litigation, arbitration, pre‑litigation negotiations, and dispute resolution processes across the Group.
- Develop dispute strategies, assess legal risks, and ensure cost‑efficient resolution.
- Liaise with and manage external counsel for contentious matters, ensuring clear communication, budget alignment, and favourable outcomes.
- Oversee the end‑to‑end contract lifecycle management (CLM) process, including drafting, approval workflows, execution, storage, renewal, and version control.
- Maintain and optimise the Group’s document management system, ensuring disciplined filing, metadata accuracy, and retrieval integrity.
- Implement and maintain KYC/KYB and data compliance controls in the contract lifecycle, ensuring alignment with legal and regulatory requirements.
- Ensure all legal agreements, NDAs, LoEs, policies, addenda, and templates are maintained and up to date.
- Ensure compliance with local, regional, and international regulatory frameworks (commercial, data privacy, POPIA, cross‑border trade, consumer protection).
- Track legal developments affecting the Group and advise leadership on required actions.
- Identify, assess, and manage legal and commercial risks across the business.
- Recommend practical risk mitigation strategies, particularly in supplier contracting, HR matters, and commercial negotiations.
- Manage relationships with external counsel, including letters of engagement, scope alignment, performance oversight, and fee structures.
- Coordinate with regulators, verification agents, corporate service providers, insurers, and other key external stakeholders.
- Ensure efficient, cost‑effective use of external legal resources.
- Assist in preparing, monitoring, and managing the Legal Department budget, including external counsel spend, subscriptions, and contract‑related costs.
