Join EY as a Counsel in our Technology and Managed Services team. The role supports EY’s business by providing legal advice and support for managed services, technology services and products offered to clients across the globe.

OpportunityAs Counsel for Technology and Managed Services, you will provide advice, counsel, and legal support for the provision of managed services and other technology for EY clients. You will advise on drafting, updating, and negotiating client‑facing agreements for managed services, outsourcing, systems implementation, application development & maintenance, software licences, SaaS, AI, big data, analytics, and cloud computing. The role involves collaborating with US GCO teams, local counsel in other EY member firms, and cross‑functional business and support teams.
YourKey Responsibilities
- Draft, update, and negotiate Technology & Managed Services Agreements, including advising on contractual strategy and risk.
- Advising on legal risks associated with technology underpinning Managed Services Agreements.
- Collaborate closely with US GCO and local counsel in other EY member firms.
- Coordinate legal resources on managed services projects.
- Support coordination with cross‑functional teams (Data Privacy, Talent, Information Security, Tax).
- Ensure contractual documentation protects EY interests.
- Develop and enhance policies and guidance relevant to managed services.
- Manage workflow in a dynamic environment, remaining responsive, reliable, communicative, and accountable.
- Build relationships within GCO and the Legal Practice Groups to deliver exceptional client service.
- Develop and deliver training and best‑practice knowledge sharing on Technology & Managed Services Agreements.
- 4+ years of complex services and technology‐related transactional experience, including drafting and negotiating Technology & Managed Services Agreements.
- Experience developing contracting templates, playbooks, and standards.
- Experience in data privacy, intellectual property law, and technology provision in the context of Technology & Managed Services Agreements.
- Experience with cross‑border contracting, including employee matters and data transfer.
- Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI) and explain related legal and business risks.
- Strong oral and written communication skills.
- Excellent negotiation and interpersonal skills.
- High degree of cultural and emotional intelligence, resilience, flexibility, and adaptability.
- Ability to work independently and team effectively across functions and geographies.
- Ability to articulate complex legal and contractual principles and balance risk from both legal and commercial perspectives.
- Highly responsive, managing high workload volumes and competing priorities.
- Solution oriented with focus on exceptional client service.
- Experience as managed services counsel in a technology or consulting organization, leading negotiations.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar and good standing, including continuing legal education requirements.
