Description

We are seeking a proactive and commercially minded Corporate Attorney with 3–5 years of experience to join our in-house legal team. This role will focus on supporting the company’s commercial, corporate governance, procurement, and business development functions, with an emphasis on contract drafting and negotiation. The ideal candidate will bring strong experience in corporate and transactional matters, including customer agreements, procurement contracts, non-disclosure agreements, letters of intent, joint ventures, and strategic partnerships.
Given our international operations, fluency in both English and Spanish (written and spoken) is preferred. The attorney will serve as a bridge between U.S. operations and Spanish‑speaking stakeholders, ensuring effective communication and accurate translation of legal and business concepts.
KEYACCOUNTABILITIES
- Draft, review, and negotiate a wide variety of commercial agreements, including customer contracts, procurement agreements, supply chain arrangements, and service contracts
- Support business development initiatives, including the negotiation and preparation of NDAs, LOIs, joint venture agreements, and strategic partnership documents
- Provide legal guidance on corporate governance, compliance, and risk management issues affecting transactions
- Supporting corporate governance issues within North and South America, including:
- Responsibility for the integrity and maintenance of entity management database including annual audits and database updates, ensuring meticulous corporate recordkeeping
- Maintaining complete, up-to‑date, and accurate documentation relating to the Company’s corporate legal entities;
- Collaborate with internal stakeholders (Sales, Procurement, Finance, Operations, Business Development) to structure and close deals that align with business goals.
- Assist in managing contract templates and playbooks to improve efficiency and consistency across the organization
- Translate and review legal documents in both English and Spanish, ensuring accuracy in multilingual negotiations and agreements
- Support due diligence and contract analysis for M&A and joint venture activities
- Advise on legal issues related to international business transactions, cross‑border agreements, and compliance with applicable laws.
- Work with external counsel when needed for complex or specialized matters
- Juris Doctor (JD) degree from an accredited law school
- Active license and good standing in at least one U.S. state bar
- 3–5 years of experience in corporate law, preferably with a mix of law firm and in‑house experience
- Demonstrated experience drafting, reviewing, and negotiating commercial contracts, NDAs, LOIs, JV agreements, and procurement contracts
- Proven ability to support business development and commercial transactions in a corporate environment
- Experience working with entity management systems, preferably GEMS software
- Fluent in both English and Spanish (written and spoken)
- High ethical standards and professional integrity
- Experience in the Logistics or Port & Terminal industries and international transactions and cross‑border contracts is preferred
