Role Overview

The Legal & Compliance Manager will be responsible for end-to-end legal operations spanning India and US entities from contract management and compliance governance to handling notices, coordinating with external counsel, and ensuring smooth cross-border operations. This is a critical business-enabling role working directly with leadership across finance, HR, and operations.

Key Responsibilities

1. Entity Compliance (India, US & NZ)

- Handle legal notices, responses, and communications for US, India and NZ entity
- Manage statutory and regulatory compliance under Companies Act, 2013, FEMA, Labour Laws, GST, and IT Act in India.
- Liaise with US registered agents and advisors for Delaware franchise filings, annual reports, and state compliance.
- Maintain a master compliance calendar across all three entities.

2. Contract Management

- Draft, vet, and negotiate SaaS Agreements, MSAs, NDAs, Channel Partner Agreements, Vendor Contracts, and Consulting Agreements.
- Support the Sales and Finance teams with customer contract reviews, renewals, and compliance with ASC 606 / GDPR / data-protection obligations.
- Maintain a contract repository, track renewals, and ensure timely renewals of customer and vendor contracts.
- Develop internal contract playbooks and templates for repeatable use.

3. Legal Coordination & Advisory

- Work with external counsel (India / US / NZ) for litigation, IP protection, employment law, and data-privacy matters.
- Provide legal inputs to internal stakeholders on business decisions, pricing models, and new market entry.

4. Governance & Internal Policies

- Draft, review, and update internal policies – Code of Conduct, Anti-Bribery, Data Protection, Vendor Onboarding, and Employment policies.
- Maintain documentation trails and version control for all legal and policy documents.
- Build scalable frameworks for risk management and contractual governance.

Qualifications

• LLB / BL from a reputed university; LLM or CS background preferred.

• 5–7 years of post-qualification experience with exposure to SaaS / Tech / IT sectors.

• Proven experience in managing India + US entity compliance, contract negotiation, and regulatory liaison.

• Excellent drafting, analytical, and interpersonal skills.

• Familiarity with SaaS legal aspects such as subscription models, data processing agreements, and reseller contracts.

Preferred Skills

• Working knowledge of Quick Books / Xero / contract-tracking tools.

• Experience coordinating with Big 4 / legal advisory firms.

• Ability to independently handle notices and responses.

• Strong project-management mindset and attention to detail.
