Senior Counsel – Products and Platforms

Our General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors to the EY community and providing the highest quality legal services to EY’s service lines and business enablement functions.

The opportunity:

As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will be responsible for providing advice, counsel, and legal support in respect of technology products and platforms to EY clients, focusing on drafting and negotiating client‑facing software licenses, SaaS agreements, AI, big data, analytics, cloud, and providing internal legal advice to technology teams.

Key Responsibilities:
  • Draft and negotiate client‑facing product and platform agreements.
  • Collaborate with US GCO members and local counsel in other EY member firms.
  • Work with intellectual property counsel and procurement counsel on product commercialization.
  • Coordinate with cross‑functional teams such as Data Privacy, Information Security, Independence, Quality and Tax.
  • Enhance policies and guidance related to technology products and platforms.
  • Advise internal product teams in the development of new products and platforms.
  • Gain understanding of tools, products and platforms to provide effective counsel.
  • Manage workflow and remain responsive, reliable, communicative and accountable.
  • Provide practicable legal advice in cross‑functional settings.
  • Build relationships and team seamlessly with other GCO members.
  • Develop and deliver training on product and platform agreements, knowledge sharing and best practice.
  • Continually learn, contribute and innovate in a dynamic space.
To qualify, candidates must have:
  • 7+ years of relevant technology‑related transactional experience in a client‑facing capacity.
  • Strong background supporting SaaS, software licenses, emerging technologies and go‑to‑market delivery models.
  • Experience developing contracting templates, playbooks and standards.
  • Proficient in leveraging legal and collaboration tools and technology.
  • Experience in data privacy, data security, licensing and intellectual property law.
  • Experience with cross‑border contracting.
  • Ability to understand, assess and negotiate terms for current and new technologies (cloud, AI).
  • Excellent communication skills, oral and written.
  • Excellent negotiation and interpersonal skills.
  • High degree of cultural and emotional intelligence, resilience and adaptability.
  • Ability to work independently and team effectively across functions and locations.
  • Strong analytical and risk‑balancing ability from a legal and commercial perspective.
  • Highly responsive with ability to manage high workload volumes and competing priorities.
  • Solution oriented focus on exceptional client service.
  • Experience in a product counsel role in a technology or consulting organization with negotiation leadership.
  • A bachelor’s degree from an accredited 4‑year college.
  • Juris Doctor from an accredited law school.
  • Membership in a State Bar and good standing, including ongoing continuing legal education.

We offer a competitive compensation package where you’ll be rewarded for performance. The base salary range for this role in the US is $177,800 to $332,400; specific ranges vary by geography.
