Ice Miller seeks a mid-level associate to join our Business practice group in one of our office locations. Ideal candidates will have two (2) to six (6) years of experience.

The ideal candidate will possess a mix of in-house and/or private practice experience advising on a wide range of complex commercial and technology transactions as well as an interest in ecommerce, supply chain, logistics, and software. The successful candidate should have experience structuring, drafting, and negotiating complex commercial agreements, including procurement agreements, outsourcing agreements, software licenses, cloud services agreements, IT services agreements, omnichannel ecommerce agreements, payment processing and merchant services agreements.

• Structure, draft, review, revise, and negotiate complex technology and commercial agreements
• Provide ongoing commercial and legal advisory support across multiple areas, including ecommerce, supply chain, logistics, intellectual property, and regulatory compliance
• Serve as outside general counsel to regional, national, and multi-national businesses
• Advise clients on a wide variety of strategic transactions and commercial matters and resolve issues that arise in existing commercial relationships and pre-litigation disputes
• Collaborate with talented and team-oriented attorneys across practice groups and offices

• J.D. from an accredited law school with strong academic credentials
• At least two (2) years of experience practicing law in a law firm and/or in-house environment
• Active law license in the state where the office is located
• Strong written and oral communication skills
• Excellent analytical skills and business judgment
• Demonstrated ability to work effectively both independently and as part of a team
• Permanent authorization to work in the United States

• Salary range: $225,000 to $340,000 (NY & DC), $214,500 to $253,500 (Chicago & Philadelphia) plus discretionary and hourly bonus opportunities
