Senior Counsel - Financial Risk Solutions Legal

The Senior Counsel will support various insurance regulatory matters and transactions involving financial insurance and risk transfer solutions for Nationwide’s Specialty Finance department. Deep experience with financial insurance regulation (credit, surety, financial guaranty, residual value) and complex cross‑border transactions is required; experience with securitization is ideal but not mandatory.

• Advise on legal and regulatory issues related to financial lines insurance products and related transactions.
• Draft and negotiate insurance policies, collateral agreements, term sheets, NDAs, reinsurance agreements, and other ancillary agreements.
• Ensure compliance with relevant insurance laws, regulations and standards.
• Manage and oversee cross‑border insurance and reinsurance transactions.
• Collaborate with internal stakeholders and external partners to support business objectives, including engagement of U.S., Bermudian, Cayman and European counsel.
• Stay current on changes in insurance laws and regulations and advise the company accordingly.
• Assist in claims handling matters and prepare for dispute resolution proceedings and negotiations.

• Provide subject‑matter expertise on significant, high‑risk or highly complex legal matters and attend business‑partner meetings to understand gradually evolving needs.
• Identify and assess potential legal risks, creating risk‑management or mitigation recommendations.
• Draft necessary legal documents and offer conclusions, recommendations.
• Interact regularly with senior leaders, influencing decision‑making and keeping them informed of case law and legislative changes.
• Develop creative solutions to unique problems, lead or coach teams on complex legal issues.
• Ensure compliance with approved external counsel budget and lead responsible financial oversight.
• Provide consistent coaching, feedback, and talent development to junior staff.
• Perform additional responsibilities as assigned by leadership.

• Juris Doctorate from an American Bar Association‑accredited law school.
• Fully licensed in the applicable state(s) with good standing and continuing legal education compliance.
• 15+ years of relevant legal experience, preferably with financial insurance, risk transfer, and transactional work.
• Subject‑matter authority in complex insurance regulatory matters and international transactions.
• Strong analytical, written, and verbal communication skills.
• Ability to lead cross‑functional projects and negotiations.

Reports to Vice President/Associate Vice President/Managing Counsel and may lead a legal team.
