Anduril’s Legal team is seeking an experienced M&A and Corporate Counsel. In this role you will support legal aspects of Anduril’s M&A activities, equity and debt financing transactions, partnerships, and other strategic transactions. You will partner closely with our Corporate Development and Finance teams as well as the broader Legal team, on a wide range of matters, including negotiating acquisition and financing transactions, conducting and managing due diligence, and coordinating efficient closing.
You will also provide general corporate support and assist in managing vendor, partner, and other commercial transactions for the Legal team.

The M&A and Corporate Counsel will require excellent negotiating and project management skills to coordinate and efficiently close complex transactions on tight timelines, with a singular focus on helping Anduril deploy its path‑making technology into operational settings for the United States and its allies.
WHATYOU’LL DO
- Be a key member of Anduril’s dynamic Legal team.
- Provide legal guidance on M&A, financing, and other strategic transactions to our Corporate Development and Finance teams and other stakeholders.
- Conduct thorough legal due diligence on potential acquisition targets to identify and mitigate risks, ensure compliance, and support informed investment decisions.
- Assist in structuring M&A, financing, and other strategic transactions to optimize value, mitigate legal risks, and ensure alignment with Anduril’s strategic objectives.
- Draft, review, and negotiate a wide variety of strategic agreements, including M&A agreements, equity financing agreements, joint venture agreements, partnering agreements, confidentiality agreements, debt agreements, licensing agreements, and various vendor and supply agreements.
- Oversee the organization and maintenance of legal documents related to M&A, financing, and other strategic transactions, ensuring accuracy and accessibility.
- Work closely with our Corporate Development and Finance teams, external legal advisors, and other stakeholders to drive M&A and other strategic initiatives.
- JD from a top‑tier accredited law school.
- 4+ years of experience practicing law in a large national law firm’s busy M&A practice.
- Experience with due diligence, deal negotiation, etc.
- Meticulous attention to detail with strong written and verbal communication skills.
- Ability to work within tight deadlines and within a team environment.
- Ability to provide clear risk analyses and recommendations to executive leadership.
- Willing and able to work in Anduril’s Costa Mesa, California office.
- Willing and able to travel at least 25% of time.
- In‑house experience preferred, not required.
- Experience with public and private company acquisitions.
- Venture financing experience is preferred.
- Experience with a variety of other non‑M&A strategic transactions (e.g., commercial partnerships / alliances; joint ventures; project finance and debt financing; strategic supply transactions; co‑development transactions; etc.).
- Experience working with the Department of Defense or with defense companies.
- Licensed to practice law in CA or DC.
- Active security clearance.
