Attorney​/Lawyer

Description We are looking for an experienced Associate Counsel Attorney to join a dynamic investment management team in Dallas, Texas. In this role, you will collaborate with the venture capital division to provide comprehensive legal support and guidance throughout the investment cycle. Ideal candidate will have three or more years of legal experience running venture capital deals, with a business-oriented mindset.

This position offers an opportunity to contribute to portfolio management, compliance initiatives, and strategic transactions within a fast-paced and innovative environment. Responsibilities:

- Collaborate with the venture capital team to identify potential investment opportunities and address associated legal risks.

- Draft, review, and negotiate venture capital agreements throughout all stages of the investment lifecycle.

- Provide legal advice to portfolio companies on matters such as corporate governance, equity compensation, commercial contracts, and strategic transactions.

- Assist with fund formation, review limited partnership agreements, and support internal governance efforts.

Requirements - Hold a Juris Doctor (J.D.) degree from an accredited law school and be admitted to at least one state bar.

- Have 3-5 years of relevant legal experience, preferably within venture capital or investment management.

- Possess a strong understanding of startup financing structures, cap tables, and exit strategies.

- Demonstrate excellent drafting, negotiation, and communication skills.

- Show the ability to manage multiple projects and prioritize effectively in a fast-paced environment.
