We are seeking an experienced Texas-qualified attorney specializing in construction and infrastructure contracts. The ideal candidate will bring robust expertise in drafting, negotiating, and managing complex contractual agreements within the construction and infrastructure sectors. This role demands a proactive legal professional who can effectively advise on risk management, regulatory compliance, and dispute resolution, ensuring that all contractual obligations align with both company objectives and legal standards.
What You'll Do:
- Prepare, review, and negotiate contracts, subcontracts, and related legal documents specific to construction and infrastructure projects.
- Ensure contract language reflects current industry practices and complies with Texas state law and federal regulations.
- Work closely with various internal business units to align contractual terms with project requirements.
- Assist in resolving contractual disputes through negotiation, mediation, or arbitration.
- Develop, implement, and update internal policies and procedures to improve contract management practices.
- Coordinate resources with respect to negotiations, including management of outside counsel engagement where appropriate;
- Stay current on legal trends and changes in construction and infrastructure law in Texas.
- Draft and negotiate non-disclosure agreements;
- Manage workflow in a highly dynamic and demanding environment while remaining highly responsive, reliable, communicative, and accountable to team leadership and other members of Galaxy; and
- Help with other special corporate projects and such other activities as may be assigned.
- Participating as required in business adjacent deals.
- Strong working knowledge of corporate law, labor and employment law, and procurement strategies
- Work closely with key stakeholders in the operating business to ensure timely execution of deals and contractual obligations.
- Experience with power purchase agreements (PPAs), interconnection agreements, and regulatory frameworks governing the physical electricity market.
- Able to advise on matters of ERCOT compliance
- Handle legal matters related to transmission, distribution, and grid interconnection projects.
- Provide legal guidance on energy trading transactions, derivatives, and hedging strategies.
- Draft and negotiate ISDA agreements, master trading agreements, and commodity contracts.
- Able to provide risk assessments and mitigation strategies to the business partners
- Experience working with a diverse work force in a field operation.
- Juris Doctor (J.D.) from an accredited law school.
- Admission to the Texas State Bar and in good standing.
- A minimum of 5-7 years of experience in construction law, with significant exposure to infrastructure projects and contract management.
- Proven experience drafting, negotiating, and administering complex contracts in the construction industry.
- Strong knowledge of Texas construction law and relevant federal regulations.
- Strong relationships in the legislative community of Texas.
- Excellent analytical, negotiation, and communication skills.
- Ability to work independently in a fast-paced, dynamic environment and manage multiple priorities simultaneously.
