Due to their continued growth, a Dallas-based boutique law firm in North Dallas
, has an immediate need for a professional and dedicated Corporate Transactions Senior Associate
. As a member of the Corporate & M&A Department, you will advise operating businesses, sponsors, private equity firms, and family offices in all aspects of corporate transactions, governance, and corporate finance. Transaction sizes typically range from $20MM to $25MM.
This firm has a 40-year history of representing middle‑market companies in various industries, real estate developers and investors, and capital providers such as family offices, banks, and private equity. This group of outcome‑focused attorneys brings deep collaboration and mentorship opportunities, aiming to provide strategic business insight and professional judgment to its clients.
The Corporate & M&A Senior Associate will work 60% to 80% on behalf of companies during exit transactions and will report to the Corporate Transactions Department head.
Responsibilities- Request, organize, and review information to provide substantive advice on structure, strategy, drafting, and execution of acquisitions and general corporate transactions.
- Negotiate and draft purchase and sale agreements and ancillary transaction documents.
- Review and draft diligence items, disclosure schedules, exhibits, and corporate documents.
- Assist in the structuring and closing of corporate transactions, and provide guidance to junior attorneys.
- Produce high‑quality, error‑free work product in a deadline‑sensitive environment.
- J.D. from an accredited law school and in good standing with the Texas Bar.
- 8‑10+ years and 15,000 hours of experience representing businesses owned or backed by entrepreneurs, sponsors, or private equity in change‑of‑control transactions.
- Knowledge of common issues and industry solutions to corporate transactions, including structuring, drafting, negotiating, and closing transactions.
- Experience drafting ancillary documents and provisions such as letters of intent, earnout provisions, seller notes, shareholder agreements, operating agreements, commercial leases, membership assignments, employment agreements, disclosure schedules, and related exhibits.
- Strong command of financial/accounting issues related to corporate finance, purchase price waterfalls, adjustments, earnout calculations, and capitalization tables.
- Ability to build and maintain client relationships by demonstrating credibility and trust through client contact.
- Proficiency with Westlaw and Microsoft Office, and willingness to embrace the firm’s leading‑edge legal AI tools.
