We are supporting a £40m revenue, private equity-backed professional services business that is pursuing an exciting strategic acquisition of a technology platform with an enterprise value of c.£15m.

We are looking for an analytically strong interim M&A / Deal Support professional to join the business over the next phase of the transaction and provide hands-on support across due diligence, financial modelling and business planning.

This is an excellent opportunity for someone with a Transaction Services, Deal Advisory, Corporate Finance or M&A background who is looking to gain direct in-house exposure to a transaction and work closely with senior management and the PE sponsor.

• Support the end-to-end financial and commercial due diligence process for the acquisition
• Build, develop and maintain transaction and acquisition models
• Analyse the target's historical and projected financial performance
• Develop detailed business plans, forecasts and scenario analysis
• Assess the target's underlying KPIs, revenue drivers, margins and cash generation
• Help evaluate the strategic and financial rationale for the acquisition
• Work with management, advisors and the PE sponsor to coordinate and respond to diligence requests
• Challenge assumptions and identify key risks and opportunities within the target
• Support the integration of the target into the wider group, including synergy analysis and post-deal planning
• Prepare clear analysis and outputs for senior management and investment committee discussions

We're looking for someone who combines strong technical financial skills with a genuine understanding of technology businesses and their underlying commercial metrics.

You'll ideally have:

• Experience in Transaction Services, Deal Advisory, Corporate Finance, M&A or a similar environment
• Strong financial modelling and analytical skills
• Experience supporting buy-side transactions and/or financial due diligence
• A good understanding of technology / software business models and KPIs
• The ability to understand metrics such as ARR/MRR, recurring revenue, churn, retention, customer acquisition, gross margin and revenue growth
• Exposure to lower mid-market transactions
• The confidence to work independently and engage directly with senior stakeholders
• Excellent attention to detail, with the ability to turn complex analysis into clear commercial conclusions
