Executive Director, Managing Counsel
Janus Henderson Investors is seeking an experienced attorney to serve as Chief Legal Counsel and Secretary for our U.S. retail and intermediary mutual fund products.
Responsibilities- Primary responsibility for U.S. retail and intermediary mutual fund disclosure and board support processes, coordinating with mutual fund directors, outside counsel, trustees, and senior management.
- Oversee board support for traditional 40 Act mutual funds, including material preparation, coordination of materials, and other corporate governance matters.
- Coordinate board meetings as Secretary and Legal Counsel, liaising with fund officers and trustees.
- Oversee disclosure for new and existing U.S. mutual fund products (prospectuses, statements of additional information, proxy/merger statements on Form N‑1A and Form N‑14).
- Participate in the product development process for 40 Act products and ETFs.
- Oversee the board process for launching ETFs and coordinate with the ETF Board.
- Draft and coordinate fund agreements with service providers and related information.
- Provide legal support for transfer agency matters involving the U.S. 40 Act products.
- Carry out other duties as assigned.
- 12+ years of experience as an attorney within a law firm or financial services company with a concentration on 40 Act matters.
- Prior experience supporting 40 Act fund board process and fund disclosure process.
- Law degree required and admission to at least one State Bar.
- Strong technical expertise with 40 Act matters, particularly for traditional open‑end funds.
- Superior interpersonal skills, with proven ability to interact with senior management, trustee counsel, and disinterested directors.
- Ability to lead board meetings and manage a team of attorneys and paralegals.
- Excellent written and verbal communication skills.
- Strong analytical, research, problem‑solving, and organizational skills with ability to prioritize multiple projects.
- Ability to maintain confidentiality and work with minimum supervision.
- Strong IT skills, including Microsoft Word and Excel.
- Carry out other duties as assigned.
- Experience supporting ETFs (preferred).

The base salary range is $240,000 - $250,000. This range is estimated, and actual pay may differ. An annual discretionary bonus opportunity is available based on company, department, team, and individual performance.
