Corporate Paralegal

Brownstein Hyatt Farber Schreck invites you to join our Corporate Practice Group as a Corporate Paralegal. With 14 offices, 700+ employees, and 300+ attorneys nationwide, we offer a dynamic environment where teamwork, collaboration, and professional growth thrive.

Essential Duties and Responsibilities
  • Assist in the formation, filing, maintenance, conversion, reorganization, and dissolution of various entity types and prepare related organizational and approval documents.
  • Coordinate closings and prepare related documentation.
  • Assemble opinion back‑up documentation.
  • Coordinate legalization and apostille requests.
  • Draft and file corporate and securities filings.
  • Organize corporate records and conduct due diligence reviews.
  • Prepare stock certificates, maintain capitalization tables, and manage option records.
  • Research Blue Sky issues and prepare required filings.
  • Perform additional tasks as assigned or required.
Required and

Preferred Qualifications
  • Bachelor’s degree (a paralegal certificate acceptable).
  • 7+ years of transactional experience in Private Equity, M&A, and Public Company matters.
  • Availability to work overtime as required.
  • Excellent oral and written communication skills.
  • Strong attention to detail with the ability to manage multiple priorities and track extensive details.
  • Proficiency in Microsoft Office with advanced Excel knowledge.
Compensation and Benefits

Salary range: $100,000 – $125,000, commensurate with experience. We offer a comprehensive benefits package that includes medical, dental, vision, 401(k) with match, profit sharing, vacation/sick/personal time off, and a paralegal bonus program.
