Job Summary
:
DUGGAN BERTSCH is seeking a highly motivated and experienced Corporate Associate with 2 to 10 years of experience to join our growing Business & Corporate Law team. The ideal candidate will have a strong background in complex commercial transactions, mergers and acquisitions, contract drafting and negotiation, and governance matters and will have a demonstrated ability to lead deal teams, provide sophisticated advice to business clients, and manage all phases of transactional matters with minimal supervision.
Responsibilities
:
- Serve as lead associate on M&A transactions including structuring, due diligence, drafting, negotiating, and closing.
- Draft, review, and negotiate asset and stock purchase agreements, operating agreements, and related transaction documents.
- Advise clients on a wide range of commercial agreements.
- Draft, review, and negotiate a wide range of commercial agreements.
- Provide day-to-day counsel on corporate governance and general business matters.
- Conduct legal research and analysis on various corporate law issues.
- Collaborate with other attorneys and professionals within the firm to provide comprehensive legal services to clients.
- Maintain current knowledge of relevant legislation and case law.
- Juris Doctor (JD) from an accredited law school.
- Admitted to the practice of law and in good standing in the state of Iowa.
- 2-10 years of experience in corporate law, preferably with a focus on transactions.
- Strong drafting, negotiation, and project management skills.
- Strong verbal communication skills, with the ability to explain complex legal concepts in clear, understandable terms.
- Excellent interpersonal and communication skills, with a client-service mindset
- Ability to manage multiple complex projects and deadlines.
- Proficiency in legal research tools and Microsoft Office Suite.
- A team-oriented mindset with a strong work ethic and the ability to work independently when necessary.
