Senior Counsel – Products and Platforms

At EY, the General Counsel’s Office (GCO) supports EY’s business by serving as trusted advisors and providing the highest quality legal services to EY’s service lines and business enablement functions. As a Senior Counsel for Products & Platforms on the GCO Technology and Managed Services team, you will provide advice, counsel, and legal support for technology products and platforms, focusing on drafting, updating, and negotiating client‑facing software licenses, SaaS agreements, AI, big data, analytics, and cloud computing agreements.
You will also provide internal legal advice to EY technology and product teams from ideation to go‑to‑market.
Key Responsibilities
- Draft and negotiate client‑facing product and platform agreements, including advising on contractual strategy and risk, and staying current with legal developments.
- Collaborate closely with other members of the US GCO and local counsel in other EY member firms.
- Collaborate closely with intellectual property counsel and procurement counsel on product and platform commercialization.
- Support coordination with cross‑functional teams (Data Privacy, Information Security, Independence, Quality, Tax) as necessary.
- Understand existing EY policies and help enhance policies and guidance relevant to technology products and platforms.
- Support and advise internal product teams in developing new products and platforms.
- Gain a working understanding of the full range of tools, products and platforms to provide effective counsel.
- Manage workflow in a dynamic environment and remain responsive, reliable, communicative, and accountable to leadership.
- Be adept in cross‑functional settings and provide practicable legal advice to internal product teams and business stakeholders.
- Build relationships and team seamlessly with other GCO members, Legal Practice Groups, to deliver exceptional legal service.
- Develop and deliver training on product and platform agreements, knowledge sharing, and best practice across the legal network and business, where requested.
- Continually learn, contribute, and innovate in a dynamic space.
- 7+ years of relevant technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of product and platform agreements.
- A strong background in supporting SaaS, software licenses, emerging technologies and a variety of go‑to‑market delivery models.
- Experience developing contracting templates, playbooks and standards.
Adept at leveraging legal and collaboration tools to optimize teaming. - Experience in data privacy, data security, licensing, and intellectual property law.
- Experience with cross‑border contracting (including local country agreements and cross‑border data transfer).
- Ability to understand, assess, and negotiate terms for current and new technologies (cloud, AI) and explain related legal and business risks in a practical manner.
- Excellent communication, negotiation and interpersonal skills.
- High degree of cultural and emotional intelligence, resilience, flexibility, and adaptability.
- Ability to work independently and team effectively with colleagues in other functions and geographic locations.
- Ability to grasp, understand, and accurately articulate complex legal and contractual principles and balance risk from legal and commercial perspectives.
- Highly responsive with ability to manage high workload volumes and competing priorities.
- Solution oriented with focus on exceptional client service.
- Experience in a product counsel role in a technology or consulting organization with leading negotiations.
- Bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar as an attorney qualified to practice law.
- Good standing with the applicable State Bar, including current continuing legal education requirements.
