Compensation: Anticipated compensation for this position is a base salary $280-300k plus 30-40% STIP.
Job Summary: The Associate General Counsel (AGC) provides overall legal leadership and broad legal support across the organization with a primary focus on corporate governance, commercial contracting, and general corporate counsel responsibilities. The expectation is for this role to evolve to a General Counsel position for the company in 6 12 months. This role supports the company's strategic and operational initiatives while ensuring compliance with applicable laws and mitigating legal risk.
The AGC leads a team of staff attorneys, paralegals, contract specialists, and other legal associates while also managing the relationship with external counsel. This position is also a key partner to the Finance, Sales, Operations, and People Services teams and plays a critical role in sales contract escalations, customer and vendor negotiations, corporate litigation matters and board/governance processes.
Essential Job Functions – General Counsel Support & Cross-Functional Advisory- Advise internal stakeholders on a broad range of legal matters including commercial, corporate, employment, intellectual property, marketing, privacy, product development, and general legal questions.
- Support internal investigations, compliance reviews, and employment-related matters in coordination with People Services.
- Contribute to legal department processes, templates, playbooks, and operational improvements.
- Assist in managing outside counsel for specialized matters, such as SEC compliance filings, intellectual property filings, audit / regulatory matters, and employment matters.
- Counsel the company regarding legislative updates and legal trends impacting the business.
- Lead all aspects of corporate governance activities, including preparation for board and committee meetings, drafting minutes, resolutions, and governance documentation.
- Maintain corporate records, legal entity compliance, annual filings, and governance calendars.
- Assist with policy development, compliance initiatives, and internal controls.
- Monitor legal and regulatory developments and assess their impact on the business.
- Guide and mentor the legal team who will directly support the business in a variety of aspects including contracting, IP protection, conflicts of interest, compliance, etc.
- Draft, review, and negotiate a wide range of commercial agreements, including customer MSAs, SOWs, SaaS agreements, data privacy agreements, NDAs, marketing contracts, and vendor contracts.
- General familiarity with federal, state, and local government contracting practices.
- Serve as a key escalation point for the Legal and Sales team to support deal-structuring, risk assessments, redline responses, and internal alignment with Finance, Security, and Operations.
- Provide practical, business-oriented legal advice to enable efficient deal closures while protecting the company's interests.
- Partner with Finance to support vendor onboarding and risk mitigation.
- Identify legal risks and propose pragmatic solutions aligned with business goals.
- Support internal training programs (e.g., contract policy, data privacy basics, compliance).
- Contribute to M&A due diligence and integration activities as needed.
- Juris Doctor (JD) degree from an accredited law school; admitted in at least one US state.
