Interim Corporate or Funds Solicitor

Location: Edinburgh, Hybrid (ideally 3 days per week in office)

LHH are seeking an experienced Senior Legal Counsel to provide fixed-term cover within a dynamic and growing investment management business. This role offers the opportunity to work closely with senior leadership and contribute to strategic legal initiatives across the organisation.

LHH is supporting a large infrastructure-focused investment manager that offers institutional investors access to long‑term opportunities in stable, low‑volatility infrastructure assets. The organisation has deployed several billion pounds across multiple flagship funds and customised investment mandates, with capital sourced from major institutional investors worldwide.

Its funds have backed over one hundred infrastructure assets through both pooled discretionary vehicles and co‑investment arrangements. These assets relate to the delivery of essential public services, including education facilities, healthcare buildings, transportation networks, utilities, waste management, and renewable energy projects.

While the portfolio is primarily concentrated in the UK, a smaller portion of assets is located across Ireland, mainland Europe, and Canada.

This role will report to the General Counsel and will play a key role in a variety of corporate and fund related matters.

Key responsibilities

• Supporting the General Counsel in all cross business legal and governance related matters.
• Alongside the General Counsel, liaising with external legal counsel (and internal stakeholders) on fund formation and structuring, including all associated legal documentation.
• Responsible for the admittance of new investors into funds, liaising as appropriate with investors legal counsel
• Developing and producing fund related carry and co-invest documents across the organisations funds
• Responsible for the legal aspects of M&A transactions.
• Responsibility for upkeep of new fund and asset structure charts, in the house form.
• Responsibility for ensuring that new fund, corporate and acquisition related matters are accurately included in the in house database.
• Working closely alongside other team members in the Legal, Risk and Compliance team.
• Close liaison with senior management on various work streams
• Responsible for all aspects of legal input into secondary Limited Partner transfers.
• Input into legal aspects of Operational Due Diligence questionnaires ensuring the quality and timeliness of responses.
• Point of contact for regular/ day to day legal queries from within business.
• Assisting with business and efficiency improvements with legal aspects, including greater automation of legal documentation including NDAs and fund ancillary documentation.
• Contribution at weekly cross departmental meetings, providing updates on progress on legal work streams and providing advice and input into decisions, next steps

About You

• Legal Qualification: Minimum 10 years PQE.
• Experience: Strong background in fund or corporate law is essential.
• Proven ability to manage complex legal matters in a fast-paced environment.
• Excellent communication and stakeholder management skills.
