AXA XL’s global Mergers & Acquisitions Insurance division focuses on the underwriting of transactional risk insurance solutions for private equity firms and corporate strategic buyers worldwide. Products include representation & warranty, tax opinion, tax credit and contingent liability insurance used to quantify, price and allocate risk. Since establishing this division in 2017, AXA XL has expanded its suite of products and supported key clients in closing deals and reducing uncertainty.

Responsibilities- Review and analyze public and private M&A transaction documentation, due diligence reports, and target company financial statements to identify deal risks and assess financial strength.
- Draft and submit custom‑tailored quotes for proposed M&A insurance policies.
- Follow up with brokers to secure new business.
- Support the M&A management team with day‑to‑day business issues and lead underwriting on transactions, including detailed analysis of underwriting calls and due diligence reports.
- Negotiate and draft insurance policy terms addressing transaction risks.
- Collaborate with outside legal counsel and accountants representing AXA XL in due diligence.
- Develop and cultivate relationships with M&A insurance brokers, lawyers, private equity firms, deal principals and internal colleagues.
- Gather underwriting information from public sources and complete underwriting analysis for each risk.
- Conduct financial analysis on target companies and potential insureds.
- Corporate experience in a transaction‑oriented role such as M&A insurance underwriting, investment banking, private equity, in‑house corporate legal, corporate development or transaction advisory services.
- Knowledge of transactional legal exposures (warranty breaches, tax structuring, price adjustments, litigation, damage calculations).
- Ability to comprehend financial statements and address tax and commercial matters.
- Finance, Accounting, Economics or Business degree (Bachelor’s);
Juris Doctor preferred. - Experience in procuring, broking or negotiating representations and warranties insurance on behalf of deal clients.
- Excellent written and oral communication skills.
- Effective negotiation skills and comfort with legal documents.
- Self‑starter, highly focused, enthusiastic and creative thinker.
- Strong interpersonal skills and ability to work collaboratively within a team.
- Organized and able to work in a fast‑paced environment with tight deadlines and deal‑time pressures.
