As Counsel for Technology and Managed Services, you will be responsible for providing advice, counsel, and legal support on managed services and technology services to EY clients, focusing on drafting, updating, and negotiating complex, multi‑year agreements such as outsourcing, systems implementation, application development, software licenses, SaaS, artificial intelligence, big data, analytics, and cloud computing.
You will be part of EY’s Technology and Managed Services legal group and will work closely with other GCO groups in the United States and other jurisdictions, supporting senior team members. The work is complex, often urgent, and high in volume, requiring experience in supplier‑side technology and outsourcing transactions.
YourKey Responsibilities
- Drafting, updating, and negotiating client‑facing Technology & Managed Services Agreements, advising on contractual strategy and risk.
- Advising on key legal risks associated with the technology underpinning Managed Services Agreements.
- Collaborating closely with US GCO members and local counsel in other EY member firms.
- Coordinating legal resources on managed services projects.
- Supporting coordination with cross‑functional business and internal support teams (Data Privacy, Talent, Information Security, Tax) as needed.
- Advising on the accuracy and sufficiency of contractual documentation to protect EY interests.
- Understanding existing EY policies and developing/enhancing policies relevant to managed services and other technology services.
- Managing workflow in a highly dynamic environment, remaining responsive, reliable, communicative, and accountable.
- Building relationships and teaming with GCO members to deliver exceptional service to GCO clients.
- Developing and delivering training on Technology & Managed Services Agreements, knowledge sharing, and best practice.
- 4+ years of complex services and technology‑related transactional experience in a client‑facing capacity, including drafting and negotiation of Technology & Managed Services Agreements.
- Experience developing contracting templates, playbooks and standards.
- Experience in data privacy, intellectual property law and the use of technology in the context of Technology & Managed Services Agreements.
- Experience with cross‑border contracting (including employee matters such as auto‑transfer laws, local country agreements, and cross‑border data transfer).
- Ability to understand, assess, and negotiate terms for current and new technologies (including cloud and AI), and explain related legal and business risks.
- Excellent communication skills, both oral and written.
- Excellent negotiation and interpersonal skills.
- High degree of cultural and emotional intelligence, and demonstrated resilience, flexibility, and adaptability.
- Ability to work independently and team effectively with colleagues in other functions and geographic locations.
- Ability to grasp, understand, and articulate complex legal and contractual principles, balancing risk legally and commercially.
- Highly responsive with ability to manage high workload volumes and competing priorities.
- Solution oriented with focus on exceptional client service.
- Experience in a managed services counsel role in a technology or consulting organization with experience leading negotiations.
- A bachelor’s degree from an accredited 4‑year college.
- Juris Doctor from an accredited law school.
- Membership in a State Bar as an attorney qualified to practice law.
- Good standing with the applicable State Bar including being current on individual state Continuing Legal Education requirements.
